Experience with financial or corporate transactions for a bank or bank holding company is a plus. Prior non-legal work experience in financial services or fintech is also a plus. The position reports to the Senior Assistant General Counsel and can be located in New York or San Francisco.</p> <p><b> What you'll do:</b></p> <p> The Counsel, will:</p> <ul> <li>Assist the Senior Assistant General Counsel, Capital Markets by supporting the Personal Loan, Student Loan, Home Loan, and Credit Card products in connection with capital markets activities.</li> <li>Assist the Senior Assistant General Counsel, Capital Markets, and other members of the legal team as needed with respect to various transactions, including but not limited to whole loan sale agreements, collection efforts, revolving credit facilities, securitizations, derivatives, and other corporate finance related matters.</li> <li>Negotiate non-disclosure agreements and prepare routine transaction documents, including but not limited to: bills of sale, secretary certificates, board resolutions, closing checklists and side letters.</li> <li>Assist the procurement team by reviewing and negotiating miscellaneous vendor agreements</li> <li>Research and respond to due diligence requests and know-your-customer (KYC) requests</li> <li>Perform ad hoc legal research to support the Capital Markets and Treasury teams</li> </ul> <div> <div> <b>Compensation and Benefits</b> </div> <div> The base pay range for this role is listed below.
