Greensfelder, Hemker & Gale, P.C. currently has an opening for an Associate attorney in the Business Services Practice Group to work in our St. Louis or Chicago office, primarily on corporate transactions, particularly those related to tax matters. Remote applicants will also be considered. Missouri and/or Illinois license required. 3+ years of experience negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities and other corporate transactions. A broad knowledge and deep understanding of general corporate law, as well as tax and accounting principles. Experience representing issuers in private placements of equity securities and underwriters in securities offerings; securities reporting compliance, including preparing 10-Ks, 10-Qs and 8-Ks; representing of borrowers in the procurement of senior and mezzanine credit facilities.
