Bring your passion, potential and talents to Motorola Solutions and connect with a career that matters. <br> <br> Department Overview Motorola Solutions Legal department. <br> <br> By becoming a part of the Motorola Solutions corporate legal team, you support the company in providing public safety and commercial customer products and services in the moments that matter. <br>Job Description <br>This role is responsible for ensuring compliance with Delaware corporate law, U.S. securities laws, and NYSE listing requirements, as well as providing legal advice on highly complex, critical legal matters, strategic projects and mergers and acquisitions M&amp;A transactions for the Company. The Corporate &amp; Securities Counsel role will include the following activities <br> <br> Manage daily legal issues and strategic projects related to corporate governance and securities law compliance, as well as compliance with NYSE stock exchange requirements <br> <br> Provide counsel and guidance on executive compensation and general employee equity issues in collaboration with Human Resources HR <br> <br> Collaborate with Finance and External Reporting team and assist in preparation of SEC filings including 34 Act reports such as 10Ks; 10Qs and 8Ks; 33 and 34 Act registration statements including Form 10, S1, S3 and S8 Registration Statements, 14C and 14A information statements and proxies <br> <br> Assist with proxy drafting, stockholder proposal, stockholder engagement and annual meeting processes <br> <br> Assist with Section 16 reporting obligations and assist with administering the Companys insider trading policy and 10b51 plans <br> <br> Collaborate with the Investor Relations IR team and Finance on quarterly earnings process, including regarding Regulation SK and Regulation G compliance, as well as other miscellaneous IR matters <br> <br> Manage corporate governance obligations including under SarbanesOxley Act, DoddFrank Act, etc. <br> <br> Draft and implement legal policies to ensure that the company39;s exposure to legal risks is managed appropriately <br> <br> Provide moderate legal support on M&amp;A transactions <br> <br> Provide moderate legal support on subsidiary management matters <br> <br> Manage legal aspects of public debt and equity offerings and partner with the Treasury team to provide strategic support for corporate finance activities <br> <br> Ensure General Counsel and senior management are fully briefed on major issues arising in relevant business areas and major legislative changes in area of expertise, including all SEC developments <br> <br> Assist in corporate secretarial functional matters and preparing materials for the Board of Directors and committee meetings <br> <br> Partner with the Controllers office and Internal Audit on disclosure control and enterprise risk management program matters <br> <br> Seamlessly collaborate with the legal team and crossfunctionally collaborate with the companys seniorlevel business leaders, Finance team, IR team and HR to ensure proper disclosure of material information and compliance with law <br> <br> Assist with the Companys ESG program, managing compliance with emerging ESG standards and assisting with stockholder and other stakeholder expectations <br> <br> Participate in leading the Companys outside counsel including overseeing budgetinvoices and provide strategic direction and guidance to outside counsel in various matters with respect to the Companys strategies, policies and objectives <br> <br> This role may have responsibility for supervising certain activities of other legal and legal support professionals such as paralegals and legal assistants and allocating work appropriately. <br> <br> Specific Knowledge &amp; Skills <br> <br> Must be admitted to practice in a state in the US <br> <br> Inhouse legal experience preferred, including supervision of outside counsel <br> <br> Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues. <br> <br> Proven ability to approach legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our Companys success while protecting its legacy and future <br> <br> Verifiable knowledge of U.S. public company disclosure, governance, securities, executive compensation and M&amp;A matters, as well as experience with corporate finance, treasury, ESG and subsidiary management matters <br> <br> Demonstrated ability to work independently with littletono supervision and to manage multiple projects <br> <br> Excellent communication, consultation, and analytical skills <br> <br> Proven ability to exercise independent judgment in methods, techniques, and evaluation criteria for problem solving and decision making; demonstrated experience in using sound judgment <br> <br> Exceptional interpersonal, presentation and communication skills written and verbal <br> <br> Ability to lead discussions and collaborate in meetings with midtosenior level attorneys, management, and other third parties with regard to issue resolution and general problem solving <br> <br> Experience with crossfunctional projects and activities <br> <br> Ability to understand the companys business objectives and anticipate the nature and magnitude of legal issues local and international that could arise in various settings, with a desire to develop business acumen and become a business partner <br> <br> Well organized, detail oriented and adept in a fast paced environment <br> <br> Required to work with the highest level of ethics and discretion <br> <br> LIRH1 <br> <br> Basic Requirements <br> <br> Juris Doctor Degree <br> <br> 443;
