<b>General Counsel</b> Charlottesville, VA or Media, PA Anchor Health Properties, a national full-service medical real estate development, management, and investment company, seeks an attorney to serve as the firm’s General Counsel. If you are looking to join a team that is innovative, collaborative, solves problems, and is outcome-oriented, Anchor may be the place for you. <br> <b>The Opportunity</b> <b>Real Estate Pursuits and Structuring</b><b>:</b> Manages outside counsel and in-house legal staff to oversee all Anchor legal negotiations relating to stabilized real estate acquisitions and owned and fee-for-service development projects, including: <ul> <li>oversees negotiation of key project documents including programmatic, portfolio and project-specific equity joint venture agreements, loan documents and all real estate transaction instruments;</li> <li>directs all aspects of the process of structuring, capitalizing and closing real estate projects including equity syndications, refinancings and dispositions; and</li> <li>manage the legal negotiation of all construction and development agreements, the entitlement process and bonding.</li> </ul> <b>Corporate Governance &amp; Compliance</b><b>:</b> Oversees Anchor’s policies and protocols to ensure Anchor complies with its fiduciary and legal obligations, such as those arising from governing documentation, regulations, core ethical standards and key debt and equity instruments, including: <ul> <li>maintains and ensures adherence to all corporate governance documentation;</li> <li>implements and maintains securities compliance regime which satisfies Anchor’s applicable state and federal investment advisor and fund regulations;</li> <li>oversees major legal instrument negotiations to ensure Anchor can and does perform its obligations, in light of Anchor’s administrative limitations and legal restrictions;</li> <li>in conjunction with department leadership, periodically conducts risk assessments of company operations and practices and crafts solutions to minimize liability;</li> <li>ensures all Anchor personnel at all times, in conjunction with department leadership, implements and enforces internal processes and protocols to ensure that all Anchor personnel fulfill the company’s obligations (fiduciary, confidentiality or otherwise) to all of Anchor’s beneficiaries, clients and employees; and</li> <li>serves as Anchor’s Chief Compliance Officer.</li> </ul> <b>Business Vertical Support</b><b>:</b> Supports staff attorneys and business colleagues to achieve corporate objectives, balancing legal and business priorities to achieve acceptable risk, including: <ul> <li>establishes legal strategy for each business vertical- development, investments, and management;</li> <li>mobilizes and allocates legal resources to ensure legal deliverables are completed in a timely and cost-effective manner;</li> <li>advises designated business decisionmakers of relevant legal risks and implements their decisions; and</li> <li>educates business colleagues regarding central legal issues, coaches the wider Anchor employee network on common legal issues and best practices, advises of foreseeable legal changes and recommends solution-oriented concepts or policies.</li> </ul> <b>Lead Legal Operations</b><b>:</b> Oversees internal legal operations including a team of staff attorneys, including: <ul> <li>sets a departmental strategy for legal operations;</li> <li>sets annual goals and provides ongoing mentorship for Anchor’s in-house staff attorneys;</li> <li>creates and manages a legal department budget, legal resource invoicing and reimbursables, approves conflict waivers, obtains any necessary support services;</li> <li>oversees all litigation involving Anchor, its affiliates and officers, manages litigation processes (in coordination with outside counsel and executive management);</li> <li>oversees negotiation of all Anchor debt instruments, equity syndications, service agreements, etc.; and</li> <li>files, organizes and maintains necessary regulatory submissions (e.g., CTA, KYC, entity maintenance, entity registrations, and annual reports) for Anchor and its affiliates.</li> </ul> <b>General</b><b>:</b> Supports the mission and goals of Anchor, its joint venturers and clients as directed by and in consultation with Anchor’s managing principals.
