You will join a team of attorneys responsible for providing legal support and legal risk management to Deutsche Bank’s U.S. M&amp;A and capital markets businesses. This expands across a full range of buyside, sellside, debt and equity transactions, including in the LatAm space. </p> <p></p> <p><b>What We Offer You </b></p> <ul> <li><p>A diverse and inclusive environment that embraces change, innovation, and collaboration </p></li> <li><p>A hybrid working model, allowing for in-office / work from home flexibility, generous vacation, personal and volunteer days </p></li> <li><p>Employee Resource Groups support an inclusive workplace for everyone and promote community engagement </p></li> <li><p>Competitive compensation packages including health and wellbeing benefits, retirement savings plans, parental leave, and family building benefits </p></li> <li><p>Educational resources, matching gift, and volunteer programs </p></li> </ul> <p></p> <p><b>What You’ll Do </b></p> <ul> <li><p>Negotiating financial advisory engagement letters relating to buyside and sellside transactions and other advisory assignments with investment banking clients, including in the LatAm space, participating in fairness committees, and advising the Business on conflicts of interest matters </p></li> <li><p>Providing clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products, including registered and 144A/Reg S bond offerings, IPOs and follow-on equity offerings and private placements, including in the LatAm space </p></li> <li><p>Amending and/or reviewing and advising on pre-transaction and transaction documents from initial pitch phase through closing </p></li> <li><p>Working with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related matters </p></li> <li><p>Assisting with policy and guideline formulation and delivering related training on topical issues to the Legal Department and business units </p></li> <li><p>Create, maintain, and update legal form templates for M&amp;A and capital markets matters. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications.
