<p><b><br> Job Summary</b></p>

<p><br> This corporate attorney will be part of the Mergers, Acquisitions and Corporate Finance unit of the Office of the General Counsel (“MACF”), which advises and supports the business units of the Company and its subsidiaries in connection with a variety of corporate transactions, including mergers and acquisitions and finance. This attorney will report to the Vice President and Associate General Counsel of the MACF.</p>

<p><b><br> Primary Duties and Responsibilities</b></p>
<p></p>
<ul>
<li><br> Support the MACF in advising the business units of the Company in connection with acquisitions, divestitures, joint ventures and other strategic transactions. Duties will include due diligence, structure advice and review and preparation of transaction documents, including confidentiality agreements, engagement letters, term sheets, letters of intent, definitive agreements and disclosure documents.</li>
<li> Support the MACF in connection with corporate financing transactions, including credit facilities and the Company’s funding agreement backed medium term note facility.</li>
<li> Advise business units on various legal and commercial matters.</li>

<p><b><br> Required Qualifications</b></p>
<p></p>
<ul>
<li><br> JD with at least three years law firm experience as a corporate transactions attorney drafting agreements and advising clients on merger and acquisition transactions, and financing transactions, preferably for life insurance and/or investment management clients.</li>
<li> Familiarity with Federal securities laws and New York insurance laws.</li>
<li> Excellent oral communication skills</li>
<li> Ability to interact with a broad range of internal and external personnel with diverse experience.</li>
<li> Demonstrated analytical and decision-making skills.</li>
