<div id="jobDescriptionText" class="jobsearch-JobComponent-description css-16y4thd eu4oa1w0"><div> <p>The role of Counsel, Legal – Corporate/Revenue is a full-time attorney position within both Asurion’s Legal Corporate Team and Revenue Contracts Team, and has responsibility to support corporate governance, transactions and general corporate compliance matters as well as drafting and negotiating commercial client agreements. Counsel, Legal – Corporate/Revenue will provide day-to-day legal support for Asurion’s tax, finance, corporate development, treasury and client services teams. This role requires facilitating discussions designed to consistently provide cross-functional communication and guidance for activities requiring legal support.</p> <p></p> <p>The ideal candidate will be a dynamic leader, with excellent problem-solving and decision-making skills, strong time- and project-management and prioritization skills, and prior corporate and commercial legal experience.</p> <p></p> <p><b> Essential Duties &amp; Responsibilities</b><b>:</b></p> <ul> <li>Provides support for mergers and acquisitions, debt and equity transactions, corporate finance, corporate governance and corporate compliance matters</li> <li>Works to support internal client needs and to act as a liaison; brokers creative solutions for relevant stakeholders</li> <li>Develops a thorough understanding of Asurion’s business, processes and goals to provide innovative legal solutions that solve unique or challenging problems</li> <li>Establishes strong collaborative relationships with cross functional teams, including legal, underwriting, finance, tax, treasury, comp, and client services</li> <li>Exhibits strong drafting, negotiating, collaboration and communication skills</li> <li>Demonstrates good analytical skills and judgment to evaluate factual and qualitative information in complicated or novel situations</li> <li>Acts as a trusted advisor and leader to drive results and complete transactions and projects as needed</li> <li>Actively seeks operational understanding and implications of initiatives and implements process improvements to streamline support and complete successful transactions</li> </ul> <p><b> Qualifications</b><b>:</b></p> <ul> <li>J.D. from an ABA-accredited law school and admission to the bar in Tennessee</li> <li>6-8+ years of relevant experience</li> <li>Experience in corporate transactions/governance and commercial transactions, including client agreement negotiations</li> <li>Demonstrates the ability to effectively understand, consider and address the internal client or business while mitigating risk exposure</li> <li>Excellent written and verbal communication skills</li> <li>Must possess strong judgment, confidence, collaborative problem-solving skills, and ability to spot potential issues quickly</li> <li>Must be able to independently handle a variety and number of legal matters in timely fashion with minimal supervision</li> <li>Exceptional ability to schedule and prioritize work and deliverables to ensure on-time response to a large variety of changing demands/requests/requirements</li> <li>Highly organized and driven to thoroughly understand the issue and the possible implications of legal guidance</li> </ul> </div></div>
