<p><b> Overview:</b></p>
<p> The job would report to the Corporate Vice President, Transactions, Corporate and Securities Law & Secretary. </p>
<p></p>
<p><b>Responsibilities Include:</b></p>
<ul>
<li><p> Due diligence review of target companies and preparation of summary findings</p></li>
<li><p> Working with the business team to incorporate learnings from due diligence into our valuation model</p></li>
<li><p> Working with internal and external counsel on the preparation, review and negotiation of purchase agreements and ancillary agreements</p></li>
<li><p> Review and negotiation of R&W insurance policies</p></li>
<li><p> Tracking and communication of post-closing indemnity or insurance claims</p></li>
<li><p> Review and negotiation of NDAs</p></li>
<li><p> Support for our Ventures business as needed</p></li>
</ul>

<p><b> In addition, there will be an opportunity to work closely with the Business Development team on matters including:</b></p>
<ul>
<li> Financial modeling and valuation of target companies</li>
<li> Participating in management meetings with target companies</li>
<li> Analysis of strategic fit of target companies within MSI portfolio</li>
<li> Integration-related activities</li>
</ul>

<h2 class="jobSectionHeader"><b><br> Basic Requirements</b></h2>
<ul>
<li> Requires a Juris Doctor Degree and 2+ years of experience in corporate transactional, securities law, corporate governance and M&A</li>
<li> Admission to the Bar of at least one state is required </li>
<li>Legal authorization to work in the U.S. indefinitely is required. Employer work permit sponsorship is not available for this position.</li>
