Uniquely positioned to access highly sought-after opportunities in start-up companies and venture capital funds, SVB Capital invests in fund managers and private technology and life science companies throughout the innovation economy around the world. </div> <div></div> <div> SVB is currently seeking candidates for the position of Counsel to advise on SVB Capital’s existing and new funds. The position will provide legal support for SVB Capital credit funds, including with respect to underlying fund investments, fund formation, financing, governance, administration, operations and other relevant areas, and will assist on fund formation matters and other projects for SVB Capital’s venture capital funds. The successful candidate must have strong experience with venture and/or middle-market commercial lending, private fund formation and/or general venture transactional work. Experience with one or more of the following areas is a plus: strategic partnerships; start-up equity investments; M&amp;A, private company corporate governance, structured finance and/or securitizations; SEC, Federal Reserve and/or state banking regulations; and restructurings, workouts or insolvency issues. </div> <div></div> <div> At SVB, we embrace a connected workplace with a flexible, hybrid working model to take advantage of our remote and in-person collaboration capabilities. While this position is ideally located in California (Menlo Park or San Francisco) or New York (New York City), there is flexibility to consider candidates in other locations near an SVB U.S. office. </div> <div></div> <div> The position will report to the lead Senior Counsel for SVB Capital’s private credit funds. </div> <div></div> <div> Responsibilities: </div> <ul> <li> <div> Advise on underlying investments, including debt investments, warrant and equity co-investments, intercreditor arrangements and workouts/restructurings. </div></li> <li> <div> Assist on fund formation matters, including fund structure, management company matters, limited partner negotiations, allocation practices, and applicable tax, regulatory and governance issues. </div></li> <li> <div> Support new product development, fundraising and strategic initiatives, including placement agent arrangements, family office initiatives and other strategic programs. </div></li> <li> <div> Advise on fund financing matters, including capital call facilities, structured finance transactions, securitizations, and/or leverage facilities. </div></li> <li> <div> Assist with ongoing governance and operational needs of the SVB Capital fund business, including interpretation of partnership agreements and side letters. </div></li> <li> <div> Proactively collaborate with stakeholders across the enterprise, including compliance, finance, risk, and other key partners. </div></li> <li> <div> Support other projects for the Legal department as necessary, as well as contributing to the development of the team’s best-in-class practices. </div></li> </ul> <div></div> <div> Skills and Qualifications: </div> <ul> <li> <div> 5+ years of experience (either in-house or law firm), with a minimum of two years of law firm experience focused on commercial lending and corporate transactional work. </div></li> <li> <div> J.D. from a top tier school and excellent academic credentials </div></li> <li> <div> Active membership in good standing in at least one state bar, preferably California or New York </div></li> <li> <div> Curiosity.
