Join us and make a difference.</p> <p></p> <p> The Senior Counsel, Corporate Governance and Subsidiary Management is responsible for providing legal advice and support on the Company’s corporate governance and subsidiary management matters.</p> <p><b><br> Essential Job Functions</b></p> <ul> <li><p> Advise and support matters relating to corporate governance for U.S. and international subsidiaries, generally.</p></li> <li><p> Ensure compliance with the Company’s corporate governance policies and procedures, ethical practices, and Company values, by providing guidance and support to international legal teams and business partners throughout the Company, including finance, treasury, tax, business development, commercial, regulatory, and real estate</p></li> <li><p> Advise on, and prepare and review documents prepared by international legal teams, external counsel, and external service providers relating to, subsidiary governance matters such as legal entity formations, mergers, restructurings, and dissolutions/liquidations; revisions to governance documents; board and officer changes; shareholder and board resolutions; and integration of and rationalization of acquired legal entities.</p></li> <li><p> Prepare and review enterprise powers of attorney relating to regulatory, tax, insurance, and human resources matters.</p></li> <li><p> Review of external consulting and legal contracts with regard to subsidiary management support</p></li> <li><p> Assist international legal teams to ensure compliance with changes in international laws and regulations pertaining to subsidiary governance matters, including related to environmental and other ESG related disclosure.</p></li> <li><p> Provide legal counsel to the finance, tax and treasury groups, including in connection with financing activities and transactions, such as subsidiary capitalizations and distributions; provide legal advice on legal entity formations, liquidations, dissolutions, restructurings and other transactions related to the Company’s legal entity structure</p></li> <li><p> Assist with general corporate matters in the Law Department, including M&amp;A, treasury, finance, regulatory, equity investment, and other cross-functional projects that help bring medicines to patients.</p></li> </ul> <p><b> Requirements:</b></p> <ul> <li><p> Bachelor’s degree</p></li> <li><p> J.D. required with membership in good standing in at least one state bar in the U.S, NY preferred. Non-NY must obtain a NY limited in-house counsel license upon hire and non-NJ must obtain a NJ limited in-house counsel license upon hire.</p></li> <li><p> Role will be remote position by design.</p></li> <li><p> Ideal candidate will have 5-8 years’ experience in general corporate law, preferably with a public company and/or law firm.</p></li> <li><p> Candidate must also have excellent interpersonal skills, strong oral and written communication skills, and the ability to work well independently and as part of a team.</p></li> <li><p> The successful candidate will have excellent judgment and the knowledge and ability to involve others that may possess the needed expertise to address issues as required.</p></li> </ul> <p></p> <p> The starting compensation for this remote by design role and the range is from $173,000 to $217,000., plus incentive cash and stock opportunities (based on eligibility). The starting pay rate takes into account characteristics of the job, such as required skills and where the job is performed.
