The Counsel is often the daily OGC coverage attorney for a small set of BBH business areas. In that capacity, the Counsel reviews/negotiates complex contractual and other legal documentation, and provides advice with respect to the products, services, and operations of the assigned business areas, and monitors legal developments. The Associate Counsel will also serve as an escalation point for the Vendor Negotiators and junior attorneys on the Contracts team.

Documentation- Drafting and Negotiating
</div>
<ul>
<li>Prepares and negotiates where necessary all legally binding documentation, including but not limited to, contracts, offering materials, loan documentation, engagement letters and amendments thereto.</li>
</ul>

Legal Counsel
</div>
<ul>
<li>Provide legal advice to one or more BBH departments on business practices, products, operations and services, and proactively tracks relevant legal and regulatory developments.</li>
<li>May attend and/or represent OGC in committees or other meetings.</li>
</ul>

Research and Review
</div>
<ul>
<li>Obtains legal opinions from outside counsel to support firm activities.</li>
<li>Conducts legal research</li>
</ul>

Management of Outside Counsel
</div>
<ul>
<li>Manages and facilitates use of outside counsel.</li>
</ul>
<div></div>
<div>
Education level and/or relevant experience(s)
</div>
<ul>
<li>Must be a graduate of an accredited law school</li>
<li>7+ years’ experience with drafting and negotiating contracts</li>
<li>Licensed to practice law in relevant jurisdiction</li>
</ul>

Knowledge and skills
</div>

<li> Moderate legal and business expertise</li>
<li> Knowledge of technology and technology-related contracts desirable</li>
<li> Ability to prioritize, take initiative, and bring projects to conclusion</li>
<li> Ability to work effectively with various internal and external constituencies</li>
<li> Ability to work effectively in a fast paced environment and manage multiple projects simultaneously</li>
<li> Strong sense of business and legal ethics</li>
