<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <p><b>What's so interesting about this role?</b></p> <p> Grindr's Senior Securities Counsel will help our dedicated Legal team lay the groundwork for Grindr's ongoing success, including on our road to public company status. In this role you will report into Grindr's VP of Legal and Business Affairs and will be a fiduciary for Grindr's users. Every day in this role will be different, giving you the opportunity to flex your operational, legal, and public company skills to advance Grindr's mission of connecting LGBTQ people with one another and the world.</p> <p><b> What's the job? </b></p> <p>In this role you will contribute to all aspects of Grindr's legal operations and global reach, especially through:</p> <ul> <li>'33 and '34 Act compliance (e.g., addressing matters/documents related to public securities offerings, and the preparation/review of proxy statements, 10-Ks, 10-Qs, 14As, 8-Ks, S-3s, S-8s, Section 16 filings, etc.)</li> <li>State corporate law and stock exchange listing compliance</li> <li> <div> Providing counsel and oversight for any litigation matters that may arise </div></li> <li>Corporate governance matters (e.g., research/analysis of various corporate governance matters and public company disclosures, draft and maintain governance-related policies and procedures)</li> <li>Board and Committee support (e.g., preparation and/or review of Board and Committee materials including drafting minutes, and assisting with Board and Committee meeting planning, etc.)</li> <li>Finance (e.g., credit facilities, public and private securities offerings, debt compliance, securitization facilities)</li> <li>Supporting various headquarter functions (e.g., Treasury, Investor Relations, Financial Reporting, Internal Audit, etc.) on corporate/securities law, mergers and acquisitions, and other transactional matters</li> <li>Monitor, track and advise on potential impacts of new and proposed securities laws, corporate governance developments, and market trends</li> <li>Impeccable attention to detail, strong work ethic, strong written and verbal communication skills, and a team-first commitment</li> <li>Attend to Grindr Legal's diverse set of responsibilities including supporting the regulatory, corporate, and litigation functions of the Legal team</li> </ul> <h4 class="jobSectionHeader"><b>What we'll love about you</b></h4> <ul> <li>At least 10+ years of experience with capital markets / securities / corporate / and related litigation experience at a national or global law firm or equivalent in-house experience</li> <li>Experience with securities, M&amp;A and/or corporate finance transactions</li> <li>Excellent communication skills, both written and spoken</li> <li>Strong interpersonal skills - e.g., comfort level engaging with colleagues or regulators</li> <li>Ability to distill compliance frameworks for folks at all levels to understand</li> <li>Demonstrated work ethic, ability to prioritize workload, focus on critical priorities independently, and manage multiple deadlines and projects on time</li> <li>Excellent professionalism and sound judgment, inspiring trust and confidence</li> <li>Must be both a capable leader and individual contributor, as well as an effective partner to the business</li> <li>Highly organized; meticulous attention to detail; team-oriented attitude</li> </ul> <h4 class="jobSectionHeader"><b>We'll really swoon if you have</b></h4> <ul> <li>Familiarity with domestic or international data protection regulatory schemes</li> <li>Experience and facility with a broad array of litigation, regulatory, and compliance matters</li> <li>Contract analysis chops</li> <li>Track record of overseeing "bet-the-company" matters at a law firm, in-house, or both</li> </ul> <div> <b>Base salary is an important part of the overall compensation package, but there is so much to love about Grindr</b> </div> <ul> <li>Mission and Impact: Grindr is the world-leading LGTBQ social networking service. The base pay for this role is between min $200,000 and max $300,000. This base pay range is for the U.S. and is not applicable to locations outside of the U.S. The actual base pay is dependent upon many factors, such as training, transferable skills, work experience, business needs, location, and market demands. The base pay range is subject to change and may be modified in the future.
