For onsite and hybrid roles, commuting to and from the assigned site is the employee’s personal responsibility.</p> <p></p> <p> Pratt &amp; Whitney is searching for an Associate Director and Counsel to support its Group Strategy &amp; Development group.</p> <p></p> <p> The Associate Director and Counsel provides legal support for all aspects of mergers, acquisitions, divestitures, and strategic investments on behalf of Pratt &amp; Whitney.</p> <p></p> <p> Reporting to the Director &amp; Senior Counsel, Transformation &amp; Strategy in Pratt &amp; Whitney’s Office of General Counsel, this position is responsible for reviewing potential mergers &amp; acquisition opportunities, developing transaction strategy and structure, conducting due diligence, drafting documentation, leading negotiations, and supporting deal closure and execution.</p> <p></p> <p> The position will be classified as remote and may be performed from flexible locations; however, some travel may be required</p> <p></p> <p> Responsibilities include:</p> <ul> <li> Primary legal support for all stages of M&amp;A activity from target identification transaction planning, diligence, deal development and execution, and integration or separation post-transactions</li> <li> Review and formation of joint ventures, equity investments, and other strategic collaborations, including licensing</li> <li> Advice and guidance to the P&amp;W Group Strategy &amp; Development team</li> <li> Working closely with Group Strategy &amp; Development and functional groups in all stages of deal activity</li> </ul> <p></p> <p><b> Basic Qualifications</b></p> <ul> <li> Juris Doctor Degree (J.D.)</li> <li> 10+ years of relevant experience</li> <li> 5+ years of legal experience primarily in M&amp;A at a top law firm and/or in-house</li> <li> Good standing with a state bar association and in-house counsel registration in a timely manner following hire</li> <li> US Person required due to government contracts</li> </ul> <p></p> <p><b> Preferred Qualifications </b></p> <ul> <li>Substantial experience as a solution and business oriented attorney working all phases of M&amp;A deals</li> <li> Reviewing, structuring, drafting, and negotiating M&amp;A deals, strategic investments, joint ventures and other collaborations</li> <li> Independently negotiating complex business transactions</li> <li> Demonstrated capacity to actively solve complicated legal and business problems</li> <li> Ability to interact effectively with multiples levels of the organization and maintain strong relationship with peers, internal clients, and external customers</li> <li> Ability to think and work proactively and strategically in resolving legal issues</li> <li> Sound judgment and attention to details</li> <li> Superior communication skills, both oral and written</li> <li> Team player who can effectively engage with other members of the legal department and other functional groups</li> </ul> <p></p> <p><b> Raytheon Technologies is An Equal Opportunity/Affirmative Action Employer.
