The Vice President, Senior Associate General Counsel, Global Commercial will contribute to legal and business strategy development and lead legal execution and support for all worldwide commercial activities. This position will lead the global commercial legal team and report to the Chief Legal Officer, Executive Vice President. This position will be a business minded thought and proactive leader, as well as a practitioner. This role will be responsible for all commercial, transactional and commercial special projects and matters for the Company, as well as other matters as assigned by the Chief Legal Officer. </div> <div> </div> <div> We’re a legal team of business drivers. You will learn many facets of the business working on a wide range of domestic and global agreements that could span across products, technology, supply chain, IT, marketing/sales, distribution, and various commercial relationships. The ideal candidate is someone that is CURIOUS, enjoys driving a contract to exceed a business outcome, and wants to elevate their “legal agility” to work with a fun highly innovative, fast paced and truly passionate business minded team. </div> <div> </div> <div> Responsibilities: </div> <ul> <li> Effectively lead and manage the commercial legal team and have strategic foresight for a global public company</li> <li> Manage the drafting and negotiation of global commercial agreements that comply with company policies and risk tolerance</li> <li> Continuously improve standard form agreements, legal processes, and contract management system</li> <li> Manage corporate governance and legal compliance for US companies and related International entities including knowledge of international public companies</li> <li> Handle complex matters such as supply chain agreements, IT agreements, global data privacy issues, technology and IP agreements and commercial matters including some compliance pertaining to global consumer goods and international manufacturing</li> <li> Corporate and product compliance oversight</li> <li> Manage day to day counseling of assigned business clients, both domestically and globally</li> <li> Collaborate with others across the company to continuously refine our product strategy and business opportunities</li> <li> Support cross functional pragmatic leadership within the legal department and business partners</li> <li> Handle legal issues relating to M&amp;A activities, joint ventures, business combinations and corporate restructurings</li> <li> Manage commercial legal budget and forecasting</li> <li> Ability to pivot quickly with the business needs and be extremely responsive to clients and senior leadership</li> <li> Develop and provide commercial training to enterprise</li> </ul> <div> </div> <div> Requirements: </div> <div> </div> <ul> <li> Juris Doctor or equivalent degree from an accredited law school.</li> <li> Must be an active licensed attorney in the Commonwealth of Massachusetts or be able to waive in under corporate in-house exception</li> <li> Minimum of 15 years’ experience practicing law in a corporate environment with extensive experience in commercial matters, including contract drafting and negotiation.</li> <li> Experience with technology and IP related agreements, supply chain and data privacy experience; public company experience desirable.</li> <li> Must have prior experience leading a global commercial team with at least 3-4 attorney direct reports or General Counsel for a small company.</li> <li> Excellent written, oral, listening, and organizational skills with proven ability to interact effectively with varied audiences, including executive team members</li> <li> Excellent communication, negotiation skills, and executive level presentation skills</li> <li> Ability to work under pressure and prioritize and manage workload, manage simultaneous tasks, and meet deadlines with a changing fast-paced environment</li> <li> Proven ability to lead a team and excellent coach and mentor who values the success of his/her team</li> <li> Strong interpersonal skills and emotional intelligence with the ability to stand firm on issues with business clients when necessary</li> <li> Collaborative team player</li> <li> A high degree of self-sufficiency, independent judgment and a business appreciation all with a view to managing risk in the most cost-effective manner</li> <li> Superior legal and analytical skills – excellent judgment and initiative in selecting the most effective solutions and possess a business-oriented approach to problem solving</li> <li> Strong business acumen including the ability to think like a business person and integrate legal and business issues, so as to partner effectively with business leaders.</li> <li> Business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk</li> <li> Detail-oriented and resourceful with excellent follow-through skills</li> <li> Collaborative, business minded and team orientated promoting innovation and motivation throughout the team.</li> <li> “Roll up the sleeves” mind set</li> <li> Prior International experience is a plus</li> <li> Intellectual property/licensing agreement experience is desirable </li> <li> Experience with corporate compliance matters including but not limited to corporate governance and securities law compliance issues is desirable</li> <li> Experience practicing law in the legal department of a consumer goods company is highly desirable</li> </ul> <div> Our purpose is to positively impact people’s lives every day in every home around the world!
