3-6 Years’ Experience The Opportunity Glaser Weil is seeking an experienced corporate associate to support the Firm’s dynamic corporate practice, which encompasses mergers and acquisitions, securities, and a variety of other corporate transactions. This position provides an opportunity to work alongside a team of recognized, highly experienced and talented attorneys working on significant and leading-edge transactional matters. This position can be based in our Century City, Newport Beach or San Diego offices. Attractive Candidates Will Have: Experience in public and private equity offerings, including private placements, initial public offerings and follow-on offerings, PIPEs, proxy statements and S-4 registration statements in connection with business combination transactions, interfacing with the SEC and other regulators, and familiarity with the ongoing reporting requirements under the 1934 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements (experience representing both issuers and underwriters would be beneficial) Day-to-day experience counseling public companies, including with respect to corporate governance matters 3-6 years of substantive legal experience working for high-growth, early-stage businesses and active investors in connection with incorporations, equity financings, securities, mergers and acquisitions and general corporate counseling Impeccable written, verbal, analytical and advocacy skills Enthusiasm and demonstrated success working and collaborating in a fast-paced, high-stakes environment A can-do attitude and self-starter mindset Effective problem-solving skills and the ability to develop creative solutions to meet client needs The ability to engage directly with clients, lead significant projects and provide exceptional client service Excellent academic credentials from a nationally recognized law school Candidates must be admitted to practice law in California. The base compensation range for this position is $230,000 - $265,000. These numbers do not reflect a successful candidate’s total compensation. Base compensation is only the guaranteed component of the total compensation package and does not include discretionary bonuses and the other career-enhancing opportunities of joining the Firm.
