As a member of Klaviyo's global Legal team, you will join a diverse, talented and collaborative group of in-house lawyers and other legal professionals in helping Klaviyo achieve its goals. You will play a key role in providing legal support and guidance across a range of matters, with a particular focus on corporate governance, board and committee matters, equity, and securities law reporting and compliance.</p> <p><b> How You'll Make a Difference:</b></p> <ul> <li>Provide advice and support on a wide range of corporate matters, including corporate governance, board and committee matters, equity-related issues, and securities law reporting and compliance.</li> <li>Draft and review corporate policies, charters, minutes, resolutions, and other legal documents related to corporate governance and securities matters.</li> <li>If and when applicable, assist with the preparation and filing of periodic reports, proxy statements, and other required securities disclosures.</li> <li>Assist with mergers, acquisitions, and other corporate transactions, including due diligence, contract review, and negotiations.</li> <li>Assist with entity compliance and corporate secretarial matters for the company's global subsidiaries.</li> <li>Assist in the management of equity operations, employee stock plans and policies.</li> <li>Help to maintain and strengthen the company's disclosure controls and procedures and internal control over financial reporting.</li> <li>Support efforts across the legal team, including negotiating and reviewing commercial agreements (customer and vendor agreements, NDAs, etc.), supporting cross-functional business teams on various projects, and more.</li> <li>Stay up to date on emerging trends and developments in corporate and commercial law.</li> </ul> <p><b>Who You Are:</b></p> <ul> <li>JD and membership in at least one state bar (preferably MA, CA or NY).</li> <li>Minimum of 3-5 years of experience, with a focus on corporate and securities matters.</li> <li>Strong understanding of Delaware corporate law, corporate governance requirements and best practices.</li> <li>Previous experience in both law firm and in-house settings is preferred.</li> <li>Excellent drafting, negotiation, and communication skills.</li> <li>Ability to work independently, manage multiple projects simultaneously, and meet deadlines.</li> <li>Detail-oriented with strong analytical and problem-solving abilities.</li> <li>Proactive mindset with the ability to identify potential legal risks and provide strategic advice.</li> <li>High level of integrity, professionalism, intellectual curiosity and willingness to grow.</li> </ul> <br> <p></p> <p> #LI-Hybrid</p> <div> <p><b> Get to Know Klaviyo</b></p> <p> We're Klaviyo (pronounced clay-vee-oh).
