The Opportunity Group/ Team description: TMT, Data, Digital and Outsourcing We have a stand-out TMT & Data team that continues is track record of success and growth, consistently ranked in the top tier of the legal directories for TMT work. We are one of the few elite firms with a full-service international TMT practice. HSF places TMT at the heart of its strategy: we want to invest in our TMT team to consolidate on its recent success and to build for the coming years’ successes. Our TMT team works hard to originate the majority of its work, as well as supporting our successful corporate practice. Our TMT team has been growing year-on-year for the last 5 years. We are now a team of 4 partners and around 25 associates and we continue to grow at all levels. We are a high-performing team that rewards hard work, initiative, curiosity and good humour. We are also a team without siloes: all of our associates can expect to work across the whole range of TMT, data, outsourcing and complex commercial matters, and our partners regularly pitch and deliver work together. The Opportunity: We are looking for a mid-seniorassociate to join our team to help lead transactions and regulatory advisory work. The majority of transactions will be technology, outsourcing and commercial deals, as well as some general corporate support. However, we also have a strong regulatory advisory practice, particularly with respect to data protection, and the successful candidate would be expected to be able to lead advice on data issues. If desired, you could also help lead M&A / joint venture TMT deals. Key responsibilities: The successful candidate will be expected to: Lead and negotiate transactions with limited supervision Be responsible for drafting complex legal advice for clients with minimal amendments and supervision Be able to provide legally sound but practical and commercial advice tailored to the client Adopt a client-facing role for a broad range of clients Take an active and client-facing role in business development planning and execution Implement strong organisational skills and ability to prioritise in order to cope with conflicting demands and meet deadlines Supervise and develop Junior Associates, Trainees and Paralegals Examples of recent deals: The following are some examples of the broad range of work undertaken by the TMT & Data team: Transport for London on a wide range of technology-driven deals (Oyster, Congestion Charge, iBus2, Underground Radio. Mobile services procurement) Ministry of Defence on the transformational re-platforming of the entirety of its IT systems across all of the armed forces globally Google across UK and EMEA on the roll-out of its technical infrastructure, including support on its data centre builds, fibre and submarine cable dealsNEOM on a range of matters including major technology and digital infrastructure JVs, procurements and strategic partnerships as well as on TV & film production work, and data privacy issues A major tech provider on the data protection compliance considerations in relation to the integration of GPT 4.0 AI powered tools into its products The developer and operator of a non-fungible token (NFT) platform business with a multitude of privacy-related challenges in the UK and Europe Zellis, a payroll and HR Solutions business, with the breach response to a well publicised attack by Clop gang on the popular MOVEit file transfer solution A robotics company on data protection compliance issues in relation to the launch of a demo car that is equipped with advanced driver-assistance system technology (including image perception to detect nearby obstacles and respond accordingly) to customers in Europe A major global bank on the launch of a new fintech for the provision of a consumer finance platform across multiple markets globally ClearBank on its establishment as the first new clearing bank in over 250 years, transforming the digital clearing bank market with a modern, purpose built and cloud-based digital banking platform Cellnex and IHS on mobile towers transactions Virgin Media on all aspects of its MVNO arrangements with BT and Vodafone a major UK retail bank on its arrangements with a fintech for the development of a cloud based core-banking platform based on blockchain technology to transform its retail and business banking platform Telefonica: Cornerstone; Beacon 5G; Shared Rural Network; Toronto; merger of O2 and Virgin Media Spectrum issues OneWeb: Leading international information services company on a number of technical infrastructure projects including terrestrial fibre, data centres, sub-sea cable systems Sky on its carriage arrangements with BT and Virgin Media Dyson on its global advertising deal with IPG and technology matters Qualifications, skills and experience: 3 – 6 years PQE (Mid/Senior) Strong academic history TMT, Data and Outsourcing experience in a leading private practice firm Excellent attention to detail High level of commercial awareness Track record of a leading role in transactions Excellent drafting and communication skills Desire to be part of a busy, friendly team Team Corporate Working Pattern Full time Location London Contract type Permanent Contract Diversity & Inclusion At Herbert Smith Freehills you will be part of a diverse, innovative culture where high performance, client focus and highly engaged people are our differentiator.
