Job Description: As a Project Attorney with Regulatory experience at Winston Legal Solutions, you will work on financial regulatory matters, with a focus on various filings and regulatory requirements. The ideal candidate will have substantial direct hands-on experience with the handling and completion of Form D, Form ADV, Blue Sky Filings, and Investor Questionnaires. A litigation background is not required, but proficiency with the Adobe "Prepare Form" tool and experience with subscription agreements are essential. Key Responsibilities: Form D: Complete and file Form D with the SEC, ensuring compliance with SEC regulations for companies selling securities under certain exemptions. Form ADV: Complete and file Form ADV, including during the renewal season, detailing investment styles, assets under management, and key officers of advisory firms. Blue Sky Filings: Prepare Blue Sky Filings to comply with state securities laws, ensuring all necessary documentation is accurate and timely. Investor Questionnaires: Prepare and manage Investor Questionnaires in connection with subscription agreements. This includes: Preparing templates using form fields. Using Adobe "Prepare Form" tool. Inputting investor details accurately into the questionnaire. Preferred Experience: Commercial Contract Review/Drafting: Experience in reviewing and drafting commercial contracts. Corporate Transparency Act Filings: Filing Beneficial Ownership Interest Reports as required by the Corporate Transparency Act. IRS Form 83(b) Elections: Handling IRS Form 83(b) elections for clients. Other Regulatory Experience: Additional regulatory experience that complements the primary responsibilities. Qualifications: Juris Doctor (JD) from an accredited law school. Active membership in good standing with the state bar. Minimum of 5 years of law practice with substantive experience in regulatory matters. Proven ability to complete and file Form D, Form ADV, Blue Sky Filings, and Investor Questionnaires. Proficiency with Adobe "Prepare Form" tool. Excellent analytical, negotiation, and communication skills. Ability to work independently and as part of a team in a fast-paced environment. Strong attention to detail and organizational skills. Additional Information: Location: Hybrid/Remote Role Estimated Pay Rate: Pay rate varies based on the assignment. Rates range from $40.00 to $100.00 per hour. Plus, OT for any hours over 40.
