Baker McKenzie seeks an associate attorney with three (3) to six (6) years of experience to join the Projects and Finance practice. The successful candidate will have a demonstrated core skill set in, and understanding of, utility scale power and infrastructure projects, cash equity investment structures and M&A transactions involving such projects and in the debt and tax equity financings of such projects and transactions, including bank debt and tax equity investments, credit and secured transactions background with broad experience in lending or sponsor side development and financing representation and transactions closing experience. Substantial experience in sponsor-side project finance work in a variety of energy, mining and infrastructure sectors, including conventional project level construction and term debt and HoldCo financings, tax equity investments, common equity investments, preferred cash equity transactions, large projects portfolio transactions and tax credits sale and purchase transaction is preferred. Experience and ability to prepare initial drafts/first markups of the complex legal documentation such as purchase/membership interest purchase agreements, equity capital contribution agreements, join venture operating agreements, tax credit transfer agreements, loan agreements and security documents and markup these agreements based on the outcome of negotiations and/discussions with clients for partner’s review is strongly preferred. It is essential that the candidate possess exceptionally strong knowledge of highly structured, financial model driven investment transactions, has expertise in limited and non-recourse project financings and understands the power sector industry, renewables in particular, and more broadly infrastructure projects structures, including understanding of the Inflation Reduction Act impact on the infrastructure and financing/investment structures. The ideal candidate will also have strong academic credentials, excellent analytical, communication and writing skills, and an ability and willingness to collaborate across diverse teams and cultures. Prior client facing experience and ability to interface with and manage client relationships with partners is required. Experience in independently running transaction closings with a large number of third party closing deliverables under Partner’s supervision is highly preferred. The US base compensation for this position is expected to be $260-390K annually when located in an office in the state of New York, California, Illinois, or Washington DC. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
