<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1axw7mm eu4oa1w0"><div> <div> VICE PRESIDENT - COUNSEL (EQUITY DERIVATIVES) (JOB NUMBER: LEG000579) </div> <p></p> <div> <div> <br> </div> <p><b>Business Overview:</b></p> <p> The Group Legal N.A., Global Markets team provides transactional, structural, advisory and documentation support for BNPP’s Global Market businesses in North and Latin America and Canada, including with respect to Equity Derivatives, QIS, ISDA master agreements and other derivatives trading documentation.</p> <br> <p> </p> <p>The team is seeking an attorney for a permanent role to join the Equity Derivatives (EQD) Legal Team within Global Markets Americas Legal. Will consider internal mobility candidates from offices outside of New York. </p> <p><b>*</b><b><i>Please note this role can be based in either New York, NY or Jersey City, NJ.</i></b></p> <br> <p></p> <p><b> Candidate Success Factors:</b></p> <p> Candidates are measured on the following four performance drivers, which will dictate how individual impact is considered on the Americas platform:</p> <ul> <li>Results and Impact</li> <ul> <li>Able to influence peers and team.</li> <li>Demonstrates good judgement when making decisions of high complexity and impact.</li> <li>Exercise appropriate autonomy in the execution and delivery of work. </li> <li>Responsible for driving outcomes, which have meaningful effect on team or department.</li> </ul> <li>Leadership and Collaboration:</li> <ul> <li>Creates trust with colleagues.</li> <li>Acts in leadership capacity for projects, processes, or programs.</li> </ul> <li>Client, Customer and Stakeholder Focus: </li> <ul> <li>Able to build relationships with a mix of colleagues and clients.</li> <li>Interacts regularly with management and department leaders.</li> <li>Demonstrates the ability to influence stakeholders at the team level. </li> </ul> <li>Compliance Culture and Conduct: </li> <ul> <li>Takes full responsibility for personal actions and demonstrates courage in facing problems and conflicts.</li> <li>Perceived as a person of high moral character; upholds corporate values and displays high ethical standards.</li> </ul> </ul> <br> <p><b> </b></p> <p><b>Responsibilities: </b></p> <ul> <li>Analyze and review complex corporate/strategic equity derivative transactions including, but not limited to, affiliate/issuer transactions, capped call and call spreads, pre-paid forwards, 10b5-1/10b-18 plans, ASRs, structured buybacks, and margin loans. </li> <li>Review and negotiate flow and exotic equity derivatives transaction documentation; draft custom derivative templates; provide legal advice to front office personnel in relation to standard and bespoke derivatives transactions.</li> </ul> <ul> <li> Review and negotiate custom index documentation, including licenses, dealer agreements, marketing materials, and rulebooks; draft new custom index disclosures; address various equity derivatives/custom index documentation-related inquiries from internal stakeholders and clients. </li> </ul> <ul> <li>Draft, review and negotiate master agreements including ISDAs, CSAs, MRAs, GMRAs, MSFTAs, Account Control Agreements and related derivatives documentation, as well as other financing and trading products documentation, with outside clients. </li> <li>Escalate various negotiation points to business, risk, collateral, treasury and other internal functions for review and approval in connection with derivative transactions.</li> <li>Review clients’ formation documents to determine capacity and authority to engage in derivatives trading and review loan and security documentation to determine scope of security interests for hedging counterparties.</li> <li>Analyze derivatives trading-related legal and regulatory issues, including close-out netting, ERISA, 1940 Act requirements, applicability of various U.S. and cross-border regulations, including Dodd-Frank and Margin Rules, trading venue agreements, and discuss the issues with internal stakeholders and clients.</li> <li>Maintain and update internal legal documentation databases and pipelines and attend status meetings and conference calls.</li> <li>Manage ad hoc projects as required.</li> <li>Work closely with GM Legal teams in NY, including, but not limited to, coordinating workload and training. </li> <li>Participate in industry working group calls (including ISDA) and update GM Legal teams and business management as appropriate.</li> </ul> </div> <div></div> <div> <h2 class="jobSectionHeader"></h2><p><br> </p> <div></div> <p><b>Minimum Required Qualifications:</b></p> <ul> <li> Law Degree from an accredited law school</li> </ul> <ul> <li> Admission to (or eligible for admission to) New York bar </li> </ul> <ul> <li> Preferred 2-3 years of law firm or in-house experience</li> </ul> <ul> <li> Familiarity with US and cross-border derivatives regulatory framework (including Dodd-Frank and EMIR requirements for financial institutions and corporates) and US securities laws (including the Securities Act of 1933 and Securities Exchange Act of 1934) and Investment Company and Advisors Act as they pertain to derivatives and product disclosures</li> </ul> <ul> <li>Preferred experience in corporate/strategic equity transactions and negotiating and drafting equity derivative documentation.
