<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> Job Description: </div> <div> Title: Legal Counsel </div> <div> Reports to: Assistant General Counsel </div> <div> Location: Remote-eligible! </div> <div></div> <div> Position Overview </div> <div> Terex Corporation is seeking a Legal Counsel to join the Corporate Legal team to handle global labor and employment matters and assist with commercial legal matters. The Legal Counsel will be a member of the Senior Human Resources team. Key areas of responsibility will include: </div> <div></div> <div> Labor and Employment Responsibilities </div> <ul> <li> <div> Provide high quality legal advice and counsel in a timely fashion to HR professionals and business leaders on global employment, labor law and works council matters </div></li> <li> <div> Provide advice and counsel on restructuring, performance management, hiring, disciplinary issues, reasonable accommodations, leaves of absence, complaints of discrimination, wage and hour issues, noncompetition and non-solicitation agreements, and any other employment related matters </div></li> <li> <div> Responsible for accurate and timely US required government filings (i.e, EEO-1s), annually update, coordinate and deliver Affirmative Action Plans and work with Diversity, Equity and Inclusion team to deliver results and develop action plans </div></li> <li> <div> Draft, review and maintain employment-related documents, policies and processes (e.g., offer letters, separation agreements, compensation and benefits plans, employee handbook, etc.) to ensure they are current and compliant </div></li> <li> <div> Develop and implement best practices, tools, guidelines, programs, and solutions that can be effectively implemented within or across multiple geographies </div></li> <li> <div> Oversee and manage response to administrative charges, disputes and litigation, including supervision of outside counsel and maintaining legal budget </div></li> <li> <div> Maintain an up to date knowledge of relevant United States and global labor and employment laws and regulations </div></li> <li> <div> Conduct or supervise HR related investigations and employment law related audits as needed </div></li> <li> <div> Provide advice and counsel regarding labor relations and union issues, including collective bargaining and grievances </div></li> <li> <div> Develop and deliver training to managers and HR on various employment-related topics </div></li> <li> <div> Support merger, acquisition and divestiture activities (e.g. conduct due diligence and advise on integration) </div></li> <li> <div> Provide advice and counsel on immigration matters </div></li> <li> <div> Provide legal guidance on data privacy, supporting the Company’s Data Privacy Officer and Terex businesses </div></li> <li> <div> Become a trusted advisor and business partner across the Company by providing counsel and guidance </div></li> <li> <div> Manage and supervise the Senior Manager, HR Compliance </div></li> <li> <div> Provide other support as requested or required </div></li> </ul> <div></div> <div> Commercial Responsibilities </div> <ul> <li> <div> Provide advice and counsel on commercial legal matters to Terex team members in sales, operations, finance, marketing and other department </div></li> <li> <div> Draft, review and negotiate various types of commercial agreements with customers, suppliers, distributors and others </div></li> <li> <div> Develop, implement, refine and update standard commercial templates, processes and best practices across Terex’s global operations </div></li> </ul> <ul> <li> <div> Provide advice and counsel to Terex team members on legal risks, issues and potential liabilities associated with commercial agreements, transactions and relationships </div></li> <li> <div> Develop and provide training and education to Terex team members on a variety of commercial legal issues </div></li> <li> <div> Provide legal and strategic business advice to help ensure Terex activities, policies, practices and transactions comply with all Terex corporate policies and all applicable laws, rules and regulations </div></li> <li> <div> Support merger, acquisition and divestiture activities </div></li> <li> <div> Become a trusted advisor and business partner across the Company by providing counsel and guidance for accomplishing overall business objectives </div></li> <li> <div> Provide legal assistance with any strategic projects as such need may arise </div></li> </ul> <div></div> <div> Required qualifications </div> <ul> <li> <div> J.D. degree from an accredited law school </div></li> <li> <div> Be admitted and in current good standing in a state bar </div></li> <li> <div> 5+ years demonstrated legal experience in the areas of labor and employment law and litigation at a law firm or in combination with experience at a corporate legal department. Union experience is a plus </div></li> <li> <div> Fluency in English; knowledge of additional languages is desirable </div></li> </ul> <ul> <li> <div> Be results oriented, able to act independently, take initiative and responsibility, set appropriate priorities, multi-task, proactive, strategic, work efficiently, respond promptly, follow through on projects to completion respond promptly and handle a diverse workload and a variety of matters in a fast paced, rapidly changing environment. </div></li> <li> <div> Possess strong analytical, written and verbal communication and organizational skills. </div></li> <li> <div> Have strong business acumen and be able to interact in a collegial and productive manner with other team members located locally and throughout the world. </div></li> <li> <div> Self-awareness – uses a combination of feedback and reflection to gain productive insight into personal strengths and weaknesses </div></li> <li> <div> Instills trust – gains the confidence and trust of others through honesty, integrity, and authenticity </div></li> <li> <div> Interpersonal savvy – relates openly and comfortable with diverse groups of people </div></li> </ul> <ul> <li> <div> Be of the highest integrity and uphold all ethical and compliance standards </div></li> <li> <div> Eagerness to learn new areas of law </div></li> </ul> <div></div> <div> Preferred Qualifications: </div> <ul> <li> <div> Experience drafting, reviewing and negotiating a broad range of commercial agreements </div></li> <li> <div> Experience with commercial litigation at a law firm and/or as part of a corporate legal department. </div></li> </ul> <div></div> <div> Travel expectations </div> <div> The successful candidate must be willing to travel domestically and internationally on occasion upon business requirements. </div> <div></div> <div> The salary range for this position is $120,000 to $180,000.
