Cadence is looking for an experienced Corporate Attorney to join our Corporate Legal and Compliance Team. This position will report to the VP and Deputy General Counsel on a team of approximately seven professionals responsible for securities, corporate governance, compliance, M&A, corporate finance, stock administration and subsidiary management. This attorney will have a high degree of responsibility in further developing and administering Cadence’s global compliance programs and will handle a broad range of corporate legal matters as well. Responsibilities: * Further develop and administer our global compliance programs, including updating and implementing policies and procedures related to code of business conduct, anti-corruption, conflicts of interest, securities trading and antitrust * Manage employee processes for obtaining approvals required by our code of business conduct and related policies * Oversee annual worldwide compliance trainings and develop and deliver tailored training programs to further cultivate an ethical and compliant culture * Develop and implement ways to measure compliance program activity and effectiveness * Monitor and analyze new regulatory and legal compliance requirements, including estimating impact and recommending and assisting with the implementation of plans to meet applicable requirements * Collaborate cross-functionally and globally to anticipate and assess emerging compliance risk areas across the company, resolve issues and mitigate risks * Assist with compliance hotline monitoring and internal investigation of compliance issues, as well as the resolution and reporting thereof * Prepare reports for our executive management team, board and board committees on our compliance policies and the operation and status of our compliance programs * Support other corporate governance matters, including preparation of the annual stockholder meeting and proxy statement * Assist in the preparation and review of other SEC filings, including Section 16 reports, conflict minerals disclosure and annual and quarterly reports * Support M&A, capital markets, corporate finance and other strategic transactions * Serve as the Legal Business Partner to the Cadence Giving Foundation and oversee corporate legal matters for our government contracting subsidiary Qualifications: * 5+ years of corporate legal and compliance experience, including at a large law firm * In-house legal compliance experience at a U.S. public company is a plus * Current bar membership in at least one U.S. state and qualified to practice in-house in California * J.D. from a nationally recognized law school * High degree of integrity and ability to instill trust * A goal-oriented team player with excellent interpersonal and communication skills, including the ability to explain complex legal issues to non-lawyers * Proven ability to drive change and produce high-quality work product in a fast-paced, cross-functional environment * Adaptability, comfort with uncertainty and continuous change and an openness toward cross-functional development * This position will be based in San Jose, California.
