Department purpose and structure Our U.S. Securitization/ CLO team has deep and broad financing and capital markets experience, including securitizations of credit card receivables and other consumer finance receivables, automobile loans and leases, dealer floor-plan receivables, equipment financing, intellectual property, mutual fund fees, litigation settlement fees, distressed assets, trade receivables and all manner of collateralized loan obligation transactions, including broadly syndicated and middle-market CLOs, warehouses and bespoke asset portfolio financings. Role purpose The ICM-SEC paralegal is responsible for providing excellent client service, technical, and project support in accordance with A&O’s best practices. This role works under the guidance of the ICM-SEC partners and associates. Key relationships • ICM-SEC partners and associates • Fellow paralegal team members Context This role involves acting as a reliable point of contact as it relates to the ICM-SEC partners and associates. The paralegal support function is crucial to the day-to-day success of the business and this individual will play an essential part in this model. Role and responsibilities Assist attorneys on a vast array of projects and tasks, which include, but are not limited to: • Project management duties (e.g., oversight of administrative duties on multiple transactions) • Prepare legal documents (e.g. closing certificates, UCC filings, etc.) Prepare signature pages to transaction documents • Participation in the preparation and distribution of documents • Preparation for and attendance at closings, including assisting the client and attorneys during the closing • Preparation and filing of certificates of incorporation, by-laws, resolutions, and foreign qualifications of companies; • Create and maintain internal case databases • Cite-check and proofread documents and/or legal memoranda • Prepare binders of relevant documents • Interact with clients and service vendors Team This position reports directly to the ICM-SEC partners and associates, but also work closely with other members of staff, including but not limited to the wider paralegal teams. Key requirements • Bachelor’s degree required • Strong academic background • At least 3 years of relevant experience • Commitment to the practice for the foreseeable future The annualized base salary range for this position is $55,000 to $65,000. The actual base salary offered will depend on the overall qualifications of the individual applicant for the position and other job-related factors permitted by law.
