Saul Ewing is looking for an experienced senior associate or counsel to join our expanding securities group. This is an opportunity to join a sophisticated and entrepreneurial practice in a collegial and supportive environment. Candidates should have at least six years of in-depth experience in the following areas: - Public company rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934) - Public and private offerings of securities - Knowledge of national securities exchange listing rules - Reporting on Forms 10-K, 10-Q and 8-K - Proxy statements for annual and special shareholder meetings - Section 16 Reporting (Forms 3, 4 and 5) - General corporate and corporate governance experience (e.g., drafting board resolutions, policies, press release, etc.) - Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus This position is open to our offices in Boston, New York, Philadelphia and Washington DC. Bar admission required for the jurisdiction of practice. The pay for this position will be determined based on relevant skills and experience, education, external market data, internal equity, and other job-related factors. The anticipated pay range for this role is $230,000 - $260,000.
