Ice Miller is seeking a mid-level associate (three (3) to six (6) years’ experience) to join our Business Group in Chicago, Columbus, Indianapolis or Washington, DC. The ideal candidate will possess a mix of in-house and private practice experience (at a top national or international law firm) advising on a wide range of complex commercial and outside general counsel matters as well as an interest and experience in supply chain, product development and commercialization, manufacturing, outsourcing, and logistics. The successful candidate should have experience structuring, drafting, and negotiating complex commercial agreements, including, manufacturing and commercialization agreements, sales and marketing agreements, consulting agreements, procurement agreements, supply and distribution agreements, services agreements, and outsourcing agreements, as well as complex international commercial transactions, strategic alliances, collaborations, and joint ventures. In this position you will: Structure, draft, review, revise, and negotiate complex commercial agreements Provide ongoing commercial and legal advisory and risk management support across multiple areas and industries, including consumer and industrial goods, food and beverage, retail, supply chain, life sciences, medical device and pharmaceuticals foreign direct investment, logistics, intellectual property, and regulatory compliance Serve as outside general counsel to regional, national, and multi-national businesses Advise clients on a wide variety of strategic transactions and commercial matters and resolve issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.
