Description
Parker Poe is seeking a transactional associate with 4 to 6 years of experience to join its growing Corporate Practice Group in North Carolina. This position offers an attorney the opportunity to work on a broad range of business transactions, and M&A related activities. They will be responsible for advising clients on buy and sell side M&A transactions as well as other corporate and commercial transactions. The incoming associate will provide guidance related to deal structuring, due diligence, drafting, negotiation, and closing. This Associate will also advise clients in corporate governance. The applicant must possess exceptional communication skills, research, and writing skills. Candidates must be currently licensed in North Carolina. Parker Poe has extensive experience advising public and private companies, boards of directors, and special committees regarding all aspects of corporate governance and compliance. Additionally, our capital market and business finance experience covers a full range of capital raising, business, and financial transactions. Parker Poe offers clients a wealth of experience across a broad range of business transactions, combinations, and related activities. Our group is made up of attorneys who work regularly with public and private companies as well as foreign-owned companies on their U.S. and international transactions, ranging from corporate structuring, site selection and facility development, commercial sales, and supply chain to M&A. Our transactional attorneys work with clients in a number of industries, including manufacturing and distribution, automotive, life sciences and biotechnology, health care, energy, food and beverage, environmental, and waste services and recycling. This commercial and transactional position would include work in some or all of the following areas: Manufacturing Companies. Corporate relocation, expansion, and incentives projects, engineering, procurement, and construction contracts for high tech production lines and robotic warehouse systems, domestic and international supply, distribution, and toll manufacturing arrangements, joint ventures, and other ongoing operational contracts and advice. Renewable Energy Projects. Biogas supply contracts and infrastructure arrangements, solar energy generation under regulated programs, combined heat and power projects, renewable energy credit purchase agreements, and advice on sustainability programs. Automotive Industry. A wide variety of software licenses, services agreements, and other contracts advancing the digital and electrical transformation of automotive sales and marketing and supply chain contracting.
