Job Summary: Our Finance Practice Group is seeking a mid-level associate with 4-5 years of proven legal experience handling sophisticated leveraged financing transactions. Duties/Responsibilities: Associates in this position will represent private equity sponsors and their portfolio companies and/or financial institutions that provide financing to private equity firms in debt financing transactions. Associates will be expected to assist and provide legal guidance to clients in structuring and executing leverage finance transactions. Associates will also be expected to draft and review various financing documents, including credit and service agreements, high yield bond indentures, commitment letters and term sheets, security, and guarantee agreements and intercreditor and subordination agreements. Associates will support clients during and after transactions by providing legal advice to ensure compliance and risk mitigation and stay current on industry trends and legal developments. Required Skills/Abilities: Qualified candidates will have 4-5 years of equivalent experience at a large law firm representing private equity sponsors, corporate borrowers and/or lenders with leverage finance transactions. Candidates must also have a high degree of attention to detail and strong analytical abilities to effortlessly support our highly diverse client base. Candidates should have a strong academic record and a J.D. degree from an accredited law school and must be admitted to and a member in good standing of the New York Bar.
