## **Job Description:** ## **The Role** As Senior Legal Counsel in Fidelity’s Asset Management Legal Group, you will provide counsel to portfolio management, sub-adviser oversight, trading, operations, compliance and product governance teams on a wide range of legal and regulatory issues associated with the Strategic Advisers funds, which operate as multi-manager funds of funds that are dedicated to Fidelity’s managed account offering. You will also review due diligence materials and negotiate sub-advisory agreements with the funds' affiliated and unaffiliated sub-advisers. ## **The Expertise and Skills You Bring** * Minimum 5-10 years of relevant law firm, industry or regulatory experience as a practicing attorney * Significant experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 required * Working knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 preferred * Experience with negotiating mutual fund sub-advisory agreements and/or providing regulatory advice with respect to complex derivatives and alternative investments are desirable but not required * Strong academic background * Ability to work independently under pressure in a dynamic environment that will require you to manage multiple, competing tasks simultaneously * Ability to break down complex and complicated legal issues quickly and provide real time legal advice * Strategic and critical thinking skills, excellent judgment, and decision-making skills * Excellent analytical, oral and written communication skills, in particular the ability to reduce sophisticated legal issues to straightforward, practical analysis and advice * Commitment to excellence ## **The Value You Deliver** * You will be a key member of the team of asset management attorneys located in Boston, working closely with other members of Fidelity’s Asset Management Legal group. * You will provide legal support on a broad range of issues involving the Strategic Advisers funds, which operate as registered multi-manager fund of funds that are dedicated to Fidelity’s managed account offering. * You will work closely with portfolio managers, compliance, sub-adviser oversight and product governance on new investment products and sub-advised strategies. Legal support will include guidance on applicable regulation and exemptive relief, contract negotiations with third party sub-advisers, and review of board materials relating to new or terminated sub-advisory arrangements. * You will assist with fund governance matters, liaise with fund and independent trustee counsel, review board presentations and provide guidance to senior management on board proposals. * You will counsel compliance, investment teams and senior management on regulatory and fiduciary obligations, legal and regulatory risk, and proposed and impending regulation. * You will review information statements, new sub-adviser registration statement supplements and annual registration statement updates for the Strategic Advisers funds. ## **Certifications:** **Company Overview** Fidelity Investments is a privately held company with a mission _to strengthen the financial well-being of our clients._ We help people invest and plan for their future.
