New York Life is a relationship-based company and appreciates how both virtual and in-person interactions support our culture.</p> <div></div> <div> <p><b><br> Private Equity Attorney</b></p> <p> New York Life Insurance Company is seeking a Private Equity Attorney with a minimum of 5 years to 8 years of experience at a leading Wall Street law firm or in-house investment firm with a particular focus on private equity investments and the Investment Advisers Act. This role is located at the offices of<br> Apogem Capital at 299 Park Avenue, NY, NY. Apogem is a New York Life Investments company and subsidiary of New York Life Insurance Company.<br> Apogem is a recently launched alternatives asset management firm with $37 billion in AUM focused on investments primarily in private credit and private equity with offices in Chicago, IL, New York, NY, and Richmond, VA. Apogem was formed in April 2022 by the combination of Madison Capital, GoldPoint Partners, and PA Capital.</p> <p></p> <p><b><br> Responsibilities</b>:</p> <ul> <li> Oversee limited partnership fund investments in US and EU private leveraged buy-out, secondary, distressed, venture, infrastructure, mezzanine, and credit funds including document review and negotiation of side letters with sponsors.</li> <li> Review and advise the investment team on amendment and modification requests with respect to existing limited partnership fund investments.</li> <li> Assist with formation of new Apogem proprietary funds, including drafting and coordination of PPMs, limited partnership agreements, onboarding investors, negotiation of side letter agreements, and other related documentation.</li> <li> Identify and resolve Advisers Act issues raised by Apogem’s management of its proprietary funds.</li> <li> Review Apogem's marketing materials and RFPs.</li> <li> Review, draft and negotiate vendor agreements.</li> <li> Review, draft and negotiate confidentiality agreements.</li> <li> Oversee VCOC compliance for proprietary funds.</li> <li> Manage outside counsel on licensing requirements for overseas marketing.</li> </ul> <p></p> <p><b><br> General Profile:</b></p> <ul> <li> Recognized as a subject matter expert on private investment funds matters, anticipates business and/or regulatory issues; identifies requirements for product, process or service improvements.</li> <li> Ability to communicate complex legal issues to investment team in a digestible and understandable format.</li> <li> Highly organized and able to handle multiple projects at one time and meet deadlines.</li> <li> Anticipates internal and external business challenges and/or regulatory issues; recommends process, product or service improvements.</li> <li> Solves unique and complex problems; requires conceptual and innovative thinking to develop solutions.</li> <li> Responsible for the delivery of results focused on excellence.</li> </ul> <p></p> <p><b><br> Qualifications:</b></p> <ul> <li> 5 to 8 years of legal experience working for a leading Wall Street law firm and/or in-house investment firm with a specialty in private investment funds and in-depth understanding of the Investment Advisers Act.</li> <li> Excellent interpersonal, writing, presentation skills and the ability to communicate effectively and concisely.
