Your job will matter, and you will never be bored.</p> <p><br> THE ROLE</p> <p> Eventbrite is seeking a highly motivated team player to join its legal team as Corporate Counsel. Days are fast-paced and action-packed, and the ideal candidate will be eager to roll up their sleeves and problem-solve on matters of all kinds, but focusing primarily on securities law compliance and corporate governance. The position is highly cross-functional, partnering closely with teams across the company, including accounting, investor relations, finance, marketing, communications, impact, and more.</p> <h4 class="jobSectionHeader"><b><br> YOU WILL</b></h4> <ul> <li>Prepare and review Eventbrite’s periodic SEC reports, including Proxy Statement and Forms 10-K, 10-Q and 8-K</li> <li>Partner with a cross-functional team on mergers &amp; acquisitions, including structuring transactions, drafting term sheets, managing deal processes, performing due diligence, negotiating definitive transaction documentation, assisting in integration planning and implementation, managing post-closing activities and managing outside counsel</li> <li>Assist with the development and disclosure of ESG initiatives</li> <li>Assist with corporate governance matters, including preparation of Board and Committee agendas, materials and minutes</li> <li>Work closely with marketing and communications teams to identify and analyze legal and commercial risks related to various marketing matters</li> <li>Manage Eventbrite’s international entity compliance program</li> <li>Assist in developing, implementing and continually improving processes and procedures to increase scalability and efficiency of the Legal department</li> <li>Coordinate and manage internal projects, trainings, processes, and drive cross-functional efforts to successful completion</li> <li>Provide support on other legal projects as needed</li> </ul> <h4 class="jobSectionHeader"><b>THE SKILLSET</b></h4> <ul> <li>J.D. degree and membership in at least one state bar</li> <li>2-4 years of combined legal experience at a global law firm and/or in-house legal department</li> <li>‘33 and ‘34 Act disclosure and reporting experience</li> <li>M&amp;A experience</li> <li>Intellectual flexibility and business-oriented attitude</li> <li>Creative and practical legal counselor who can communicate information accurately and completely, while being concise and digestible for non-lawyers</li> <li>Ability to organize, prioritize and manage deadlines in a fast-paced and demanding work environment</li> <li>Thoughtful and persuasive interpersonal skills and ability to build and maintain strong working relationships</li> <li>Collaborative team player combined with ability to work independently and exercise sound judgment</li> <li>Very important to enjoy being part of a collegial team and to enjoy practicing law</li> </ul> <p><br> WHAT WE OFFER</p> <p><b><br> We are committed to providing competitive, valuable and meaningful benefits for our Britelings</b><b>.</b></p> <p><b><br> We work hard to cultivate a diverse, equitable and inclusive culture where Britelings feel like they belong.</b></p> <p> Employees can participate in resource groups and we offer programming throughout the year to support a diverse and inclusive workplace.
