Duties and Accountabilities Represent financial institutions, funds and corporate end users in the structuring, development, negotiation and documentation of derivatives products (including interest rate, currency and commodity) Provide legal advice on complex derivatives transactions such as total return swaps, equity derivatives, repo and securities lending transactions and other structured products. Advise sponsors/borrowers and lenders on the hedging component of project and corporate financing transactions from both transactional and regulatory perspectives. Advise clients on futures, clearing and prime brokerage documentation, as well as related netting, margin and other regulatory issues. Advise clients on regulatory matters relating to derivatives regulation and compliance (including the Dodd-Frank Act, the Commodity Exchange Act, as well as the related CFTC, SEC and prudential regulations) and help clients navigate legal issues arising from regulatory changes. Advise clients on matters relating to fintech and digital assets. Organize client development/relations functions, including preparing materials for client pitch and training and presentation with Business Development team. Participate in recruiting, training, and mentoring junior associates. Salary Range: $365,000 - $390,000/year Qualifications J.D., LL.M., or U.S. equivalent in law plus 3 years of professional experience as an Attorney, Associate, Law Clerk, or related occupation/position/title in an international law firm providing legal advice to clients on the structuring, development, negotiation and documentation of derivatives products. Must also have experience with the following special skills: 3 years of professional experience representing financial institutions, funds and corporate end users in the structuring, development, negotiation and documentation of derivatives products (including interest rate, currency, commodity, equity derivatives, repo and securities lending transactions; 3 years of professional experience training junior team members on managing derivatives transactions from commencement to completion; 3 years of professional experience handling and providing legal advice to clients on the hedging component of high-value and cross border projects (including renewable energy projects and infrastructure projects) and corporate financing transactions (including securitizations) from both transactional and regulatory perspectives; 3 years of professional experience advising clients on regulatory matters relating to derivatives regulation and compliance (including the Dodd-Frank Act, the Commodity Exchange Act, as well as the related CFTC, SEC and prudential regulations) and help clients navigate legal issues arising from regulatory changes; and 3 years of professional experience providing legal advice to clients on complex derivatives transactions, including total return swaps, equity derivatives, repo and securities lending transactions. Must be admitted to the New York State Bar. Location and Reporting Telecommuting may be permitted up to 2 days per week.
