Description
Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in New York, NY to Act as lead associate on US and non-US negotiated transactions, including stock or asset purchases, leveraged buyouts and post buy-out transactions. Requires a Juris Doctor or equivalent, and two (2) years of experience drafting agreements, including merger agreements, stock purchase agreements and other transaction documentation for merger and acquisition transactions, including proxy statements and other SEC disclosure documents, and disclosure schedules. Prior experience must include at least two (2) years of experience drafting legal memoranda and other ancillary documentation relating to public mergers and related SEC filings, and cross-border acquisitions; conducting legal research on applicable legal frameworks, including U.S. and Delaware corporate and securities laws, SEC rules applicable to tender offers, de-SPAC transactions and cross-border M&A using platforms including Intelligize, DealPointData, Westlaw, FactSet and GTDT; negotiating transaction terms with counterparty counsel; preparing legal analyses and drafting related transaction agreements, documentation, filings, and memoranda for clients in M&A-related areas of U.S. and Delaware corporate and securities laws; coordinating with internal teams, client personnel and other advisors through transaction-related workstreams; and conducting due diligence on transactions. Must be admitted to practice law in the state of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. The starting base salary for this New York position is expected to be between $225,000 to $295,000 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law. Skadden is an Equal Opportunity Employer.
