Job Description: Goldberg Kohn’s Corporate, Securities and Tax group seeks an associate with two to four years of experience analyzing, structuring and documenting mergers, acquisitions, joint ventures, corporate formations and restructurings. The associate will assist in drafting and negotiation of a variety of business contracts related to our clients’ major transactions and day-to-day operations, as well as related due diligence and structuring work. Our Corporate, Securities and Tax group represents a variety of business entities, including public companies, private equity funds and their portfolio companies, venture-capital backed companies, and family-owned and other closely-held businesses. We work with clients to propose efficient structures and practical procedures to help businesses grow through all the phases of their life cycle, including formation, equity and debt financing, growth through mergers and acquisitions, ownership succession and transition, and exit sale transactions. Job Requirements: We require a law degree from a top law school and experience in corporate law, specifically mergers and acquisitions. Experience and interest in tax law issues in mergers and acquisitions and financing transactions, would also be a plus.
