<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1x2lix0 eu4oa1w0"><div> <div> Job Summary </div> <div></div> Join Fresenius Kabi's Biopharmaceuticals Corporate Counsel Team. <br> <br> The Director, Corporate Counsel will advise key stakeholders in biopharmaceutical development and commercialization on a variety of legal topics, with in-house clients based in the United States (US) and Switzerland. This role will collaborate with many different functions including Procurement, R&amp;D, Finance, Commercial etc to ensure appropriate legal advice for and interpretation of contracts. They will also implement governance policies and regularly monitoring compliance (in particular re: data protection laws) and support Fresenius Kabi Government Affairs team on policy topics to obtain favorable legislation for the biosimilars business. This role will not have any direct reports. <div></div> <div> Responsibilities </div> <div></div> <ul> <li> Draft and solidify template and third-party agreements and other legal documents to ensure the company’s full legal rights.</li> <li> Update and maintain template agreements and other legal documents to ensure compliance with new and evolving legal and regulatory requirements. Communicate and lead negotiation with external parties (contract partners, regulators, external counsel, public authorities, etc.), creating relations of trust. Give accurate and timely legal advice to in-house clients on a variety of legal topics (due diligences, partnerships &amp; distribution agreements, licensing agreements, misc. contracts, intercompany agreements).</li> <li> Provide direction to paralegals and legal administrative staff and interacting with a variety of departments within the Company at all levels, including upper management.”</li> <li> Apply effective risk management techniques and offer proactive advice on ad hoc legal issues. Collaborate with external law firms and Fresenius corporate legal department to devise efficient legal strategies.</li> <li> Assist with managing the budget of the legal team.</li> <li> Manage and monitor compliance topics (data protection, advertising laws, anti-trust issues).</li> <li> Data Privacy tasks, including managing Data Protection risks related to the third parties (DPAs and procurement contracts), coordination of tasks required by FK DPO covering international data transfers, data retention, privacy requirements, audits etc., informed consent issues, privacy impact assessments &amp; maintaining records of processing activities.</li> <li> Expertise in the European GDPR is an advantage. Handle domestic and international patent and trademark portfolios, including clearance, counselling, prosecution, maintenance and enforcement.</li> <li> Participating as legal representative on various biopharmaceutical cross-functional teams</li> <li> Act as lead legal counsel on assigned biopharmaceutical projects On an as-needed basis, provide legal support on business development transactions, including licensing and collaborations, including to support due diligence, transaction negotiation and drafting, and ongoing post-closing legal support for transactions with a global scope.</li> <li> Staying current with legal, regulatory, and governmental developments impacting the Company and industry.</li> <li> All employees are responsible for ensuring the compliance to company documents, programs and activities related to the Health, Safety, Environment, Energy, and Quality Management Systems, as per your roles and responsibilities</li> </ul> <div></div> <div> Requirements </div> <ul> <li> JD from an accredited law school with eligibility to practice in-house in Washington, DC or Illinois, or a law degree from a recognized University in Switzerland or an EU country, ideally paired with a CIPP/E certification.</li> <li> 3+ years of professional relevant experience (in a law firm or in-house), data protection and/or law, preferably experience in pharmaceutical legal matters in both the US and the EU.</li> <li> Experience in intellectual property matters in the pharmaceutical space, including defensive strategies, litigation, and enforcement, is a plus.</li> <li> In depth knowledge and understanding of US/EU laws. Knowledge of drug development, especially in the biosimilar space</li> <li> Strong interest in biopharmaceuticals.</li> <li> <ul> <li>Demonstrated ability to create legal defensive or proactive global strategies together with external law firms and Fresenius corporate legal.</li> </ul></li> <li> <div> High degree of professional ethics and integrity </div></li> <li> <div> Sound judgement and ability to analyze situations, prioritize tasks and manage risks within in a fast-paced environment. </div></li> <li> <div> Outstanding project management and communication skills. </div></li> <li> <div> Experience working in an international environment; qualified to provide clear, comprehensive and pragmatic legal advice with a high degree of professionalism. </div></li> <li> <div> Team player and communicator with strong interpersonal skills, able to work proactively and autonomously. </div></li> <li> <div> Experience in intellectual property matters in the pharmaceutical space, including defensive strategies, litigation, and enforcement, is a plus. </div></li> <li> <div> Fluent in English.
