<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1axw7mm eu4oa1w0"><div> <div> <b>Senior Counsel - Securities </b> <br> <br> <b>Position Description</b> <br> <br> Comerica Bank has an open Senior Counsel position for an experienced and highly motivated securities attorney. The attorney will work at the bank's headquarters in Dallas, Texas. The position is responsible for preparing and/or reviewing all public company securities filings and for identifying legal risks and potential solutions by understanding legal issues and translating them into easily understood and practical legal advice and counsel to applicable client groups. <br> <br> <b>Position Competencies</b> <br> <br> This Senior Counsel position requires the highest level of legal analysis, integrity, trust and judgment. The successful attorney must have excellent oral and written communication skills, superb people skills, the ability to learn new areas of law quickly, business acumen, political savvy, and an ability to anticipate and meet the needs of a demanding client group. <br> <br> <b>Responsibilities</b> </div> <ul> <li>Prepares securities filings, such as Section 16 filings, Form 8-K and Form S-8, as well as the proxy statement and annual shareholder meeting materials.</li> <li>Works with the Controller group in handling financial, non-financial and regulatory reporting functions, such as Form 10-K, Form 10-Q and Form 11-K.</li> <li>Prepares NYSE reports.</li> <li>Advises executive management on the legal requirements and implications of securities matters.</li> <li>Supports Investor Relations in connection with earnings calls and conferences, investor outreach, etc.</li> <li>Reviews public statements for Corporate Communications.</li> <li>Follows regulatory proposals to keep abreast of current developments, particularly those involving the SEC.</li> <li>Assists in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE regulations, SEC regulations, and other regulations applicable to public companies.</li> <li>Counsels the Treasury Department in connection with various matters.</li> <li>Assists in matters involving general corporate law and corporate governance.</li> <li>Analyzes complex legal issues and implications in transactions and other legal matters of significance to the bank.</li> <li>Independently researches applicable law.</li> <li>Assigns, manages, and monitors matters being handled by paralegals and outside counsel.</li> <li>Completes other duties as necessary or assigned to facilitate the bank's legal needs and accomplish its business goals.</li> </ul> <br> <div> <div> <b>Qualifications</b> </div> <ul> <li>Bachelor's degree and JD from an ABA accredited law school</li> <li>A minimum of six (6+) years of experience, either with a U.S. law firm and/or in-house legal department, including 6+ years of securities law experience</li> <li>Attorney must be licensed to practice law in Texas and a member in good standing of the State Bar of Texas; or be admitted to practice and a member in good standing of another U.S. bar association and eligible for admission to the State Bar of Texas without examination</li> </ul> </div>Comerica Bank Tower <br> 8:00am - 5:00pm Monday - Friday </div></div>
