This position will be primarily responsible for providing legal advice, guidance and support related to real estate and business development deals within the scope of Strategic Corporate Transactions (“SCT Legal”) within the Transactions Legal. The position will also be the primary legal point of contact for the Global Real Estate team and will also support the Business Development teams that lead clinical collaborations, investment transactions, and similar deals.</p> <p> Position will report to Senior Corporate Counsel and Head of SCT Legal R&amp;ED, Ex-US and Specialty Deals.</p> <p></p> <p><b> Key Responsibilities</b></p> <ul> <li><p> Lead negotiations and provide direct counseling to internal partners on moderate and complex real estate, and business development deals within the scope of SCT Legal, such as clinical collaborations.</p></li> <li><p> Advise internal partners in structuring and advising on various transactions in a way that advances the company’s strategy while addressing legal and regulatory risks.</p></li> <li><p> Provide advanced level support and knowledge within the SCT Legal team for the company’s real estate transactions and business development deals supported by the SCT Legal team.</p></li> <li><p> Draft, negotiate and finalize contracts in an effective, efficient, and time-sensitive manner.</p></li> <li><p> Identify and resolve critical legal issues and identify and help resolve critical business issues arising from transactions.</p></li> <li><p> Provide legal advice and legal interpretation on rights and obligations under executed agreements.</p></li> <li><p> Assist with resolution of disputes under executed agreements.</p></li> <li><p> Proactively identify the need for, and drive the creation of, new or improved contract templates for common transactions.</p></li> <li><p> Proactively identify the need for, prepare and deliver training, written guidance and other aids for internal partners.</p></li> <li><p> Proactively advise and counsel internal partners on transaction issues in close collaboration with lawyers from other practice areas and relevant subject matter experts throughout the company.</p></li> <li><p> Work cooperatively with peers to leverage skills and knowledge within the SCT Legal team and the Law Department broadly.</p></li> <li><p> Actively contribute to maintaining a solid SCT Legal team, through participation in discussions, sharing best practices, collaboration on projects and development or improvement of tools and contract infrastructure, etc.</p></li> <li><p> Demonstrate full commitment to Bristol Myers Squibb mission and values.</p></li> </ul> <p><b><br> Qualifications &amp; Experience</b></p> <ul> <li><p> Law degree from recognized university. Qualification to practice law in New Jersey, whether a NJ attorney license or NJ in-house counsel limited license.</p></li> <li><p> Required years of experience in a mix of a major law firm or in legal function of a major corporation working on legal transactional matters and/or Life Sciences: <b>Senior Counsel 7 years minimum/Counsel: 5 years minimum</b>.</p></li> <li><p> Practical experience in drafting and negotiating routine and complex agreements Experience in bio-pharmaceutical or life sciences transactions preferred.</p></li> <li><p> Experience with life-science/pharmaceutical law, including regulations, rules and laws relating to advertising, product development, product labeling, anti-kickback, anti-bribery, intellectual property, clinical trials, financial transparency, promotional compliance, best price and data privacy.</p></li> <li><p> Understanding of health care industry.</p></li> <li><p> Excellent administrative and organization skills.</p></li> <li><p> Excellent interpersonal skills and the ability to successfully manage internal partner expectations and to work/operate well with diverse and dynamic environment people in cross-functional teams, matrix environment.</p></li> <li><p> Creative, thoughtful, practical problem-solving skills and service oriented.</p></li> <li><p> High integrity and ethical standards, ability to assess risk, ability to make decisions and think strategically while applying knowledge of applicable legal issues.</p></li> <li><p> Listens to internal partner needs and communicates with internal partners with confidence and diplomacy.</p></li> <li><p> Excellent verbal and writing skills and business judgment are required.</p></li> <li><p> Ability to communicate effectively with business management.</p></li> <li><p> Ability to work independently, effectively, and efficiently and perform against broad objectives.</p></li> <li><p> Possess exceptional business acumen.</p></li> <li><p> Enthusiastic, energetic, and self-motivated.</p></li> <li><p> Foreign language skills are desired, but not required.</p></li> </ul> <p></p> <p><i> If you come across a role that intrigues you but doesn’t perfectly line up with your resume, we encourage you to apply anyway.
