Sands Anderson PC has an opening in any of our offices for a public finance associate with 1-4 years of experience. This position will include public finance matters involving state and local entities and nonprofits, primarily in Virginia and North Carolina: tax-exempt and taxable municipal bonds, including public offerings and direct purchases, and commercial loans to finance public infrastructure, economic development projects and other capital improvement projects; nonprofit health care, higher education, education, cultural, and other facilities. Engagements include services as bond counsel, underwriter’s counsel, disclosure counsel, issuer counsel and purchaser’s/lender’s counsel. Practice may include economic development and other local government matters related to finance and capital projects. Duties & Responsibilities: Draft transaction documents, including trust agreements, loan agreements, lease financing documents and closing certificates. Assist with review of due diligence materials. Draft bond purchase contracts and remarketing agreements, securities disclosure offering documents, including limited offering memoranda and official statements. Qualifications: 1-4 years of relevant experience in public finance and/or lending/corporate finance; local governmental law experience in Virginia and/or North Carolina preferred but not required. JD from accredited law school. Active Virginia bar license required and additional North Carolina bar licensure preferred.
