This role is a newly created, and we are looking for someone with a vision that can effect change and ensure execution at the highest levels in a fast paced, iterative environment.</p> <p><b> KEY RESPONSIBILITIES:</b></p> <ul> <li>Advise on corporate legal transactions, partnering with our colleagues in corporate development/strategy</li> <li>Develop and lead a comprehensive corporate governance program, in-line with ESG best practices, including building out processes and improvements</li> <li>Present to and advise on corporate law to boards of directors and committees</li> <li>Work collaboratively to develop a strategy and materials for multiple boards and committees</li> <li>Provide legal advice on, review/draft and develop resolutions, charters, forward agendas, minutes, policies, playbooks, new committees, annual filings, legal records and other governance items</li> <li>Oversee work of more junior team members</li> </ul> <p><b>QUALIFICATIONS &amp; NECESSARY SKILLS</b>:</p> <ul> <li>JD required</li> <li>Admitted to practice in New York</li> <li>4 years plus of experience as at a law firm</li> <li>Deep knowledge of Delaware corporate law with ability to apply concepts to other jurisdictions and new situations</li> <li>Deep knowledge of ESG and corporate governance best practices</li> <li>Ability to motivate team members, work across functions and supervise others</li> <li>Superior critical thinking, judgment and communication skills</li> <li>Expertise in preparing formation documents, qualifications, dissolutions, resolutions, and board materials</li> <li>Self-starter and ability to manage competing priorities</li> <li>Superior organization skills and attention to detail</li> <li>Ability to coordinate complex tasks with multiple stakeholders and synthesize information to convey clearly to C-suite and board of directors-level audiences</li> <li>Creative and effective at change management</li> <li><b>This position is not eligible for visa sponsorship now or in the future</b></li> </ul> <p><b>#LI-KS1</b></p> <div> <p> Global Atlantic reserves the right to modify the qualifications and requirements for this position to accommodate business needs and regulatory changes.
