<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1axw7mm eu4oa1w0"><p></p> <div> <p><b>Employee Classification:</b> Other Professionals</p> <p><b> Institution: </b>System Office</p> <p><b> Department:</b> General Counsel</p> <p><b> Campus Location:</b> Tennessee Board of Regents System Office</p> <p><b> Job Summary</b></p> <p> Reporting to the General Counsel, serves as the primary legal resource for the entire TBR system for purchasing, contracts, business affairs, real property, and related matters.</p> <p><b> Job Duties</b></p> <ul> <li>30% - Provides the primary legal advice to system office staff and institutional representatives in matters related to procurement and contracting for goods and services. Participates in negotiations with large external vendors/contractors (specifically including software as a service contracts), and in policy and decision making, with senior staff, Attorney General’s Office, Treasurer’s Office, Comptroller’s Office, and other state agencies and officials - (Essential)</li> <li>25% - Reviews, assesses risk, advises regarding, and approves for form and legality contracts for the system office and contracts from the institutions requiring system office approval - (Essential)</li> <li>20% - Provides the primary legal advice to central office staff and institutional representatives on real estate and construction related business matters, and property acquisitions and disposals (fee, lease, easements, use agreements). Participates in negotiations of contracts in complex, large and difficult matters - (Essential)</li> <li>5% - Provides primary training to system office staff and institutional representatives on federal and state laws and Board policy/procedures relating to contracting and purchasing - (Essential)</li> <li>5% - Assists with litigation relating to areas of responsibility and serves as liaison with the Office of the Attorney General on such matters - (Essential)</li> <li>5% - Develops and recommends long term Board policy, system guidelines, and procedures in the areas of purchasing, contracts, real property transactions and business affairs for the system and the central office - (Essential)</li> <li>10% - Other tasks as assigned - (Marginal)</li> </ul> <p><b>Minimum Qualifications</b></p> <ul> <li>Juris Doctor degree;</li> <li>Active license to practice law in Tennessee or the ability to be admitted without examination;</li> <li>Seven (7) or more years legal experience (may include relevant experience in a related role);</li> <li>Advanced transactional experience in commercial contracts and transactions, including the review, negotiation and drafting of relevant agreements and documents,</li> </ul> government purchasing and contracts, real property acquisition and transactional document management. <br> <p><b> Preferred Qualifications</b></p> <ul> <li>Experience with Tennessee public procurement and contracting requirements;</li> <li>Intellectual property experience, including negotiating software contracts and licenses;</li> <li>Two (2) or more years’ legal experience with a government institution or agency.</li> </ul> <p><b><br> Knowledge, Skills, and Abilities</b></p> <ul> <li>Demonstrated research, writing, and oral skills; </li> <li>Strong academic achievement;</li> <li>Strong analytical and problem-solving abilities; </li> <li>Strong work ethic and professional integrity; </li> <li>Ability to handle shifting priorities and multiple, demanding projects; </li> <li>Excellent judgment; attention to detail and organization;</li> <li>Ability to work well with clients and colleagues.</li> </ul> </div> <p></p></div>
