Come join us for the ride!</p> </div> <h2 class="jobSectionHeader"><b><br> </b></h2> <h2 class="jobSectionHeader"><b>Role overview</b></h2> <p> CarGurus seeks an experienced attorney to join our growing legal team and to focus on a broad range of securities compliance and corporate governance activities. This is a great opportunity to join a collegial legal team and have an impact on our enterprise!</p> <h2 class="jobSectionHeader"><b> What You'll Do:</b></h2> <ul> <li>You will report directly to the General Counsel &amp; Corporate Secretary and will provide primary legal support for public company compliance and corporate governance globally at CarGurus.</li> <li>You will be responsible for all legal matters related to compliance with federal and state securities laws and applicable rules and regulations of the SEC and NASDAQ.</li> <li>You will develop, leverage, and implement well-organized processes, tools, and best practices required for the efficient and timely operation of the company's securities and governance compliance programs, meetings, and reporting cadence.</li> <li>You will manage a small team of securities and governance legal professionals.</li> </ul> <h2 class="jobSectionHeader"><b>Who You Are:</b></h2> <ul> <li>A minimum of 6 to 8+ years of focused substantive experience advising public companies with respect to securities laws and corporate governance, including 1933 Act and 1934 Act filings, Section 16 filings, Sarbanes Oxley matters, insider trading, and NASDAQ compliance gained at a law firm, with in-house / regulatory experience, preferred.</li> <li>Experience supporting a public company board of directors and committees, including preparing and reviewing materials, preparation of minutes, resolutions, consents, charters, training, and policies.</li> <li>Expertise advising on materiality and disclosure matters, including review of press releases, earnings materials, investor presentations, and other external communications, as well advising on Reg FD compliance and use of non-GAAP financial measures.</li> <li>Experience with preparation and planning of annual shareholder meetings, D&amp;O questionnaires, proxy statements, voting matters, proxy advisory firms, and investor relations matters.</li> <li>Familiarity with executive compensation, equity compensation plans, cash incentive plans, and 10b5-1 plans, and related matters.</li> <li>Support internal audit with SOX compliance matters.</li> <li>Prior preparation of CSR and ESG materials and annual reports.</li> <li>Research and advise on emerging public company corporate governance and disclosure trends and issues.</li> <li>Management of subsidiary entity governance.</li> <li>Development or familiarity with ethics and compliance programs and operations.</li> <li>Ability to concisely and effectively communicate with the executive management team and board of directors.</li> <li>Excellent process, organizational, and project management skills.</li> <li>JD from an accredited law school and admission to practice in Massachusetts or other U.S. state.</li> </ul> <p></p> <div> <p><b><br> Working at CarGurus</b> <br> We reward our Gurus' curiosity and passion with best-in-class benefits and compensation, including equity for all employees, both when they start and as they continue to grow with us.
