<p>Summary </p>
<p>Renders legal advice and services to the Crédit Agricole Corporate and Investment Bank (CACIB) commercial finance lines of business (with a focus on project finance) and asset recovery team in the Americas. Represents the Legal Department in front of senior management, front line of business officers, and support functions, in those matters assigned by and under the supervision and direction of the Head of U.S. Commercial Finance Legal Team; supervises and manages external counsel; provides advice on matters of New York law, U.S. Federal law and U.S. market practice to CACIB offices outside of the United States; works on legal department and CACIB projects as assigned.<br> </p>

<p>Key Responsibilities </p>
<ul>
<li>Drafts, reviews and negotiates documentation (such as commitment and engagement letters, credit agreements, security agreements and guarantees) for CACIB's commercial finance lines of business and distressed asset recovery team, with a focus on Latin American Project Finance; interprets agreements and advises on their legal effect. </li>
<li>Counsels and advises Head Office Legal Department and other legal departments in the CACIB network from time to time on matters of New York law, U.S. Federal law and U.S. market practice. </li>
<li>Identifies and analyzes the legal risk associated with new products, activities and technologies. </li>
<li>Maintains and updates form agreements used to document transactions for supported lines of business. </li>
<li>Assists in projects for the Legal Department and CACIB. </li>
<li>Supervises and manages assigned matters referred to outside counsel. </li>Participates in continuing legal education seminars of relevance to the business of CACIB and relevant industry associations (e.g., LSTA) in order to remain current in developing law and market practice.

<li>Significant experience with structured finance products and services, with in-depth knowledge of Project Finance and at least one of the following: Corporate Finance, Leveraged Finance, or Trade Finance. </li>
<li>Experience reviewing local jurisdiction collateral and other legal structures in the context of NY law structured financings. </li>
<li>Experience working with and supervising counsel in local jurisdictions. </li>
<li>Significant experience working with Latin American jurisdictions a plus. </li>
