<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> <div> <b>COUNSEL SENIOR</b> </div> <p></p> <div> <b><br> WHAT IS THE OPPORTUNITY?</b> </div> <p> </p> <div> <p>This Senior Counsel position will serve as legal support for the Bank’s residential mortgage lending and consumer lending matters and will additionally support credit cards and other general lending matters with other colleagues. The area of focus will include advising the bank regarding compliance with mortgage and consumer credit laws and regulations such as RESPA, TILA, FCRA, TCPA, FDCPA, SAFE Act, FHA, ECOA, HMDA, and UDAAP, along with advising on federal preemption, multi-state operations, state-law compliance, and general fair lending matters. The attorney will also be responsible for handling product support, origination and documentation, servicing, and default/collection matters related to residential mortgages (including HELOCs) and consumer and small business loans. The attorney would also support credit card products with other legal colleagues. Significant expertise in assigned area of focus is essential, as is the ability to work and communicate effectively with management and colleagues at multiple levels.<br> </p> </div> <p></p> <br> <br> legal and corporate governance, community reinvestment, corporate premises and corporate security. </div> <p></p> <div> <b><br> WHAT WILL YOU DO?</b> </div> <p> </p> <div> <ul> <li>Provides counsel and assistance to Bank management and other colleagues with respect to a wide range of legal matters, including research, preparing opinions, and drafting documents.</li> <li>Partners with business units and support groups (e.g., compliance, product, marketing, lending units, and risk management) to provide effective and efficient legal, transactional and regulatory guidance.</li> <li>Identifies regulatory and legal gaps within area of expertise and assist in addressing such gaps.</li> <li>Support senior attorneys as needed.</li> <li>Supervises outside counsel on assigned legal matters.</li> <li>Responsible for certain administrative or operational functions within the Legal Division.</li> <li>Complies fully with all Bank policies and procedures, including the Colleague Code of Conduct, as well as all legal and regulatory requirements.</li> <li>Completes all required training.</li> </ul> <p></p> <ul> <li><p>RESPONSIBILITIES</p> <div> <ul> <li>Provide legal support for mortgage, consumer lending and credit card activity, including with respect to regulatory compliance, new product support, origination and documentation, servicing, and default/collection activity.</li> </ul> <ul> <li>Support general fair lending requirements.</li> </ul> <ul> <li>Participate in legal evaluation of new business initiatives, strategic transactions, and venture investments with respect to mortgage loans, including drafting, reviewing, and negotiating mortgage loan sale and warehouse lending agreements.</li> </ul> <ul> <li>Advise the Bank’s risk and compliance groups on regulatory matters and remediation efforts, including reviewing policies and procedures, regulatory communications, and responses to regulators in connection with examinations.</li> </ul> <ul> <li>Provide advice in connection with the implementation of overall business strategy for the Bank and its mortgage, consumer lending, credit card and small business operations.</li> </ul> <ul> <li>Address title issues and borrower authority requirements.</li> </ul> <ul> <li>Provide legal advice with respect to mortgage, consumer lending and credit card marketing materials. </li> </ul> <ul> <li>Handle other projects at the direction of the supervising counsel, including general lending matters.</li> </ul> <ul> <li>Partner with business units and support groups (e.g., compliance, product, marketing, lending units, and risk management) to provide effective and efficient legal, transactional and regulatory guidance. </li> </ul> <ul> <li>Identify regulatory and legal gaps within area of expertise and assist in all legal and regulatory requirements.</li> </ul> </div> </li> <li> <div> REQUIRED WORK EXPERIENCE <br> <ul> <li>Minimum of 5 years of experience supporting national banking association and bank holding company on compliance with regulations promulgated by the OCC, FRB and FDIC</li> </ul> </div></li> </ul> </div> <p><br> <br> </p> <div> <b>WHAT DO YOU NEED TO SUCCEED</b> </div> <div> <br> <p><b> Must-Have*</b></p> <ul> <li>A JD and admission to the California State Bar (or eligibility to register as in-house counsel in California) required.</li> <li>Minimum of 8 years of experience at a major law firm (financial services and mortgage/consumer lending practice), in-house legal department of a financial institution, and/or financial services regulatory agency or commensurate experience.</li> <li>Minimum of 8 years of experience supporting a national banking association, national mortgage company, or mortgage technology firm, with a focus on mortgage and consumer lending origination, credit cards, small business products, and related regulatory and product support.</li> </ul> <br> <p><br> <b>Skills and Knowledge</b></p> <ul> <li>A JD and admission to the California State Bar (or eligibility to register as in-house counsel in California).</li> <li>8+ years of experience at a major law firm (financial services and mortgage/consumer lending practice), in-house legal department of a financial institution, and/or financial services regulatory agency or commensurate experience.</li> <li>8+ years of experience supporting a national banking association, national mortgage company, or mortgage technology firm, with a focus on mortgage and consumer lending origination and related regulatory and product support.</li> <li>Familiarity with credit cards and commercial lending is preferred.</li> <li>Ability to work and communicate effectively with management and staff at multiple levels.</li> <li>Experience in analyzing, interpreting and communicating legal strategies and requirements to internal clients and in translating both basic and complex legal requirements into written materials and oral presentations.</li> <li>Proven leadership with initiative and problem solving abilities.</li> <li>Ability to manage multiple projects concurrently and meet deadlines.</li> <li>Must be able to work independently, performing a variety of tasks in a team environment.</li> <li>Excellent interpersonal, verbal and written communication skills. </li> <li>Strong presentation and documentation skills.</li> </ul> </div> <div> <b>Compensation</b> </div> <div> Starting base salary: $141,830 - $263,408 per year. Exact compensation may vary based on skills, experience, and location.
