X 5 Days<br> </p> <p><b>Preferences:</b></p> <p>Successful candidates should have experience with drafting and negotiating contracts in one or more of the following subject matter areas: construction contracts; professional services agreements; procurement contracts; information technology (including software and SaaS) contracts; and real property.</p> <br> <p></p> <p><b>This position will be open to internal and external applicants and will close on Monday November 28th, 2022.</b></p> <br> <p></p> <p>The Legal Counsel position pays between $96,200.00 to $120,250.00; the Legal Counsel II position pays between $110,600 to $138,250; and the Senior Legal Counsel position pays between $127,200 to $159,000. Placement is any level is based on skills, experience and education of the successful candidate.</p> <br> <p></p> <p><b> POSITION CONCEPT</b><br> Provides professional legal guidance and assistance internally for the Company. Prepares legal research and analysis of issues. May represent the company in various proceedings.</p> <br> <p></p> <p><b>LEGAL COUNSEL</b><br> Under general supervision of other Legal Counsel, performs the duties listed below.</p> <br> <p></p> <p><b>PRIMARY DUTIES AND RESPONSIBILITIES</b></p> <div> <ul> <li>Performs analysis of legal, policy, contractual, and transactional issues.</li> </ul> <ul> <li>Negotiates, drafts, analyzes, and interprets various agreements used in the gas utility industry.</li> </ul> <ul> <li>Represents and advises the Company in dealings and negotiations on legal and contract matters with governments, regulatory entities, suppliers and other third parties and their legal counsel.</li> </ul> <ul> <li>Interfaces with commercial, technical, operational, and sourcing staff on all aspects of business activities.</li> </ul> <ul> <li>Provides practical, timely, quality legal services to help the Company meet its business objectives.</li> </ul> <ul> <li>Provides legal advice and services on a variety of commercial matters, with a specific focus on commercial contracting.</li> </ul> <ul> <li>Establishes and promotes rapport and positive working relationships with business unit management and personnel at all levels to encourage and continue the proactive use of in-house legal counsel and resources.</li> </ul> <ul> <li>Conducts research on various legal issues, including land use, franchise and commercial matters, contracts, and employment matters.</li> </ul> <ul> <li>Drafts, edits, and reviews reports, opinions, memoranda, correspondence, and other documents.</li> </ul> <ul> <li>Assists and advises in evaluation of and handling of claims against the Company.</li> </ul> <ul> <li>Assists in reviewing pending or current legislation and gives legal advice and guidance to Company and staff.</li> </ul> <ul> <li>Assists in reviewing administrative filings and assists in other regulatory matters.</li> </ul> <ul> <li>Assists in evaluating and revising practices, policies, and procedures of the Company</li> </ul> </div> <br> <p><br> <b>RELATIONSHIPS</b><br> <b>Key Internal:</b> General Counsel, Legal Counsel, Paralegals, Regulatory, Supervisors, Managers, and Directors.</p> <p><b>Key External:</b> Outside Counsel, Government Officials, Auditors, American Gas Association, Western Energy Institute, and other trade associations, and outside vendors for contracting purposes.</p> <br> <p></p> <p><b>QUALIFICATIONS</b></p> <br> <p></p> <p><b>Education</b><br> <b>Required:</b> Juris Doctorate</p> <br> <p></p> <p><b>Licenses/Certifications</b><br> <b>Required:</b> Membership in New Mexico State Bar, in good standing. Must maintain annual continuing legal education (CLE) requirements and must maintain state licensure. Must possess a valid driver’s license and meet the acceptable driving record requirements of the Company.</p> <br> <p></p> <p><b>Experience</b><br> <b>Direct Experience</b><br> <b>Required:</b> Zero (0) through three (3) years of direct work experience as a lawyer performing the Duties &amp; Responsibilities of this position is required.</p> <br> <p></p> <p><b>Knowledge/Skills/Abilities (KSA)</b><br> <b>Required:</b> Ability to conduct complex legal research. Ability to prioritize workload and focus on critical priorities. Ability to create, compose, and edit legal opinions and other written materials. Ability to investigate and analyze information and draw conclusions. Ability to make sound judgments and crucial decisions in short amounts of time. Ability to make recommendations based off laws and precedence. Ability, to identify risk exposures and mitigation measures.<br> <b>Preferred:</b> Knowledge of contracts and commercial transactions.
