If you are energized by the impact you can make at Upstart, we’d love to hear from you! <br> <br> The Team <br> <br> The Senior Corporate Counsel - Corporate is part of the Corporate, Securities and M&amp;A team within the Legal Department and will report to the Deputy General Counsel. We are seeking an experienced attorney with a solid corporate and securities background, great judgment and a collaborative working style . <br> <br> As the Senior Corporate Counsel - Corporate at Upstart, you will be a key member of the team responsible for Upstart’s corporate and securities law matters . <br> <br> The Senior Corporate Counsel - Corporate will review, draft and/or revise 10-Ks, 10-Qs, proxy statements, 8-Ks, earnings releases, and other SEC disclosures. You will support the Corporate Secretary on corporate governance matters related to Upstart’s board of directors and board committees. You will help manage and provide legal support for any corporate finance transactions, including debt and equity offerings. You will also provide legal support for the stock administration function and collaborate with a variety of internal and external stakeholders (including other members of the legal team), providing subject matter expertise on securities law and corporate governance issues. The Senior Corporate Counsel - Corporate will also assist with M&amp;A transactions on an as-needed basis. <br> <br> Position Location - This role is available in the following locations: Remote #LI-REMOTE <br> <br> Time Zone Requirements - The team operates on the West/East Coast time zones. <br> <br> Travel Requirements - This team has regular onsite collaboration sessions. These occur approximately every other month, for 3 consecutive mid-week days, at the San Mateo, CA office. If you need to travel to make these meetups, Upstart will cover all travel-related expenses <br> <br> <b>How you’ll make an impact:</b> <br> Understand Upstart’s business <br>Roll your sleeves up, jump in and contribute to and/or lead projects <br>Demonstrate great judgment, build trust with business partners and be able to calibrate risk <br> <br> <b>What we’re looking for:</b> <br> <b>Minimum requirements:</b> <br> J.D. degree with solid academic credentials and a state bar membership <br> <br> 6+ years of legal experience in corporate and securities law at a major law firm and/or in-house at a public company <br> <br> Excellent knowledge of securities laws and regulations, including the 1933 and 1934 Acts, as well as in-depth knowledge of the process and requirements for 10-Ks, 10-Qs, proxy statements, 8-Ks, earnings releases, etc. <br> <br> Corporate governance experience working on board of directors’ and board committee matters for a public company <br> <br> Familiarity with corporate finance transactions, including in the debt and equity capital markets <br> <br> <b>Preferred qualifications:</b> <br> Adaptable self-starter who is comfortable working in a fast-moving environment with competing priorities and possesses a “can-do” attitude <br>Excellent judgment with demonstrated decision-making capability while dealing with legal, regulatory and business issues <br>Strong communication and project management skills with an ability to effectively and proactively provide quick, concise, and practical legal advice <br>Experience in the financial services or the fintech space a plus but not required <br>Ability to build strong working relationships with stakeholders at all levels <br>Team player – no egos <br> <br> The minimum base pay for this position in Colorado is $163,000 + bonus + equity + benefits. Base pay may vary depending on job-related knowledge, skills, and experience. This information is provided in accordance with the Colorado Equal Pay Act.
