As part of this team, you will support the Capital Markets group of the Investment Banking division, with a focus on debt transactions. This dynamic role involves, among other activities, the following principal responsibilities: Advise bankers and capital markets professionals on a broad variety of topics that arise in connection with capital markets transactions. Review SEC-registered, Rule 144A offerings and Section 4(a)(2) placements of equity and equity-linked securities underwritten by Credit Suisse and its overseas affiliates, including both lead-managed and co-managed deals. Answer a broad variety of questions from bankers and outside counsel that arise during a transaction, including general deal mechanics. Attend and advise senior investment bankers in Investment Banking Committee meetings. Review and negotiate underwriting/purchase agreements, legal opinions, comfort letters, lock-up agreements in coordination with equity offerings and other transaction documents. Review and comment on offering documents and check for compliance with Credit Suisse guidelines. Assist in the review and preparation of responses to SEC comments, when applicable. Review FINRA issues and correspondence and prepare responses to FINRA questionnaires, if required.</p> <br> <p></p> <p></p> <h2 class="jobSectionHeader"><b>Your future colleagues</b></h2> <p></p> <p>The role of the Investment Banking General Counsel function at Credit Suisse is to act as a trusted advisor to the business.
