<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> <div> <div> <b>Technology and Life Sciences Attorney </b> <br> The Vice President, Technology &amp; Life Sciences Attorney will be part of a team of attorneys that provide a broad range of legal support to the Technology &amp; Life Sciences (TLS) line of business, which has lending groups located throughout the U.S. and Canada. TLS is a high-volume dynamic lending group which specializes in providing comprehensive banking and lending solutions to support Technology and Life Science companies backed by Venture Capital (VC) and Private Equity (PE) funds at all stages in their life cycle (i.e., pre-revenue through profitability). In addition, this position may include providing some legal support to the Equity Funds Services (EFS) line of business, which has lending groups located on both the east and west coasts as well as in Texas and specializes in providing comprehensive banking and subscription credit facilities to VC and PE funds. </div> <div></div> <div> <b>Position Competencies</b> <br> This attorney position requires the highest level of legal analysis, integrity, trust, and judgment. The position requires an attorney who understands and has relevant experience in the TLS area, and preferably some relevant experience in the EFS area. The position requires great interpersonal skills, the ability to work collaboratively and independently in a fast-paced environment, to quickly assess and anticipate issues and be solution-oriented, to give appropriate weight to the concerns of the lending group and credit while mitigating risks, to effectively communicate orally and in writing with all appropriate stakeholders, and the flexibility to successfully manage a wide range of assignments </div> <div></div> <div> <b>Position Responsibilities</b> </div> <ul> <li>Provide day-to-day legal guidance to TLS on lending transactions and related issues.</li> <li>Draft, review, and negotiate documentation for TLS customers from NDA stage through payoff (i.e., NDAs, term sheets, loans, amendments, consents, waivers, DACAs, letters, payoff letters, etc.).</li> <li>Analyze unique and complex legal issues, address and manage risks and implications arising out of TLS loan groups in transactions, cases, and other legal matters of high significance and their impact to the Bank.</li> <li>Ability to work independently and as part of a team, manage complex projects and multitask successfully in fast-paced and changing business environment.</li> <li>Prepare and negotiate loan transactions and other credit facility documentation on the Bank's behalf.</li> <li>Draft and/or review policies and procedures and recommend strategies and find creative solutions in applying the Bank's strategic objectives.</li> <li>Partner with other areas/groups at Bank as necessary to address issues affecting TLS.</li> <li>Maintain and foster relationships with outside counsel and provide guidance and/or updates regarding loan documents or particular provisions, credit policies, best practices and other corporate processes, legal fee issues, etc.</li> <li>Provide training to TLS loan group and other colleagues, as needed.</li> </ul> <br> </div> <br> <div> <div> <b>Position Qualifications:</b> </div> <div></div> <div> <b>Vice President, Counsel II</b> </div> <ul> <li>J.D. from an ABA accredited law school.</li> <li>Active member in good standing with the California State Bar Association or, if licensed in another state, able to qualify for admission to California within 180 days of employment.</li> <li>5 years of relevant experience in TLS transactions and related matters as a practicing attorney at a law firm or financial institution. Some general knowledge of EFS transactions preferred.</li> </ul> <div> <b>Vice President, Senior Counsel</b> </div> <ul> <li>J.D. from an ABA accredited law school.</li> <li>Active member in good standing with the California State Bar Association or, if licensed in another state, able to qualify for admission to California within 180 days of employment.</li> <li>8 years of relevant experience in TLS transactions and related matters as a practicing attorney at a law firm or financial institution. Some general knowledge of EFS transactions preferred.</li> </ul> </div>Palo Alto <br> 8:00am - 5:00pm Monday - Friday, This position includes onsite and remote workdays as determined by the manager. </div></div>
