<h2 class="jobSectionHeader"><b> Job Duties</b></h2>
</div>
<div>
<ul>
<li>Acts as a company advocate and advisor with respect to legal matters in one or more substantive areas of law.</li>
<li>Interprets the intent of laws and judicial decisions and applies them to specific circumstances as applicable to company business.</li>
<li>Communicates with vendors, customers and internal clients of the company and manages outside counsel with assistance with supervising attorney.</li>
<li>Assists with the development of personnel and integration of company processes.</li>
<li>Prepares and reviews SEC filings, including Forms 8-K, 10-Q, 10-K, section 16 filings and proxy statements and monitors updates on SEC rules.</li>
<li>Ensures NYSE compliance.</li>
<li>Coordinates, drafts and reviews board meeting documents and acts as a board liaison.</li>
<li>Provides support for treasury, finance, management, and investor relations as needed.</li>
<li>Monitors corporate laws and assists with shareholder engagement and other corporate responsibilities or projects as needed.</li>
<li>Must adhere to a strict code of ethics.</li>

<li>A Bachelors degree is required, while a Masters degree is preferred.</li>
<li>Juris Doctor (JD) in law is required.</li>
<li>5+ years experience is required.</li>
<li>Must be licensed to practice law in applicable areas.</li>
</ul>
