Our team solves tough, meaningful problems that create a safer, more secure world.</p> <p></p> <p><br> We have an exciting opportunity for the role of <b>Senior Counsel – General</b><b> </b>supporting the Air &amp; Space Defense System (ASDS) Strategic Business Unit (SBU). This role reports to the ASDS General Counsel, and directly supports the ASDS Sub-SBU (SSBU) key stakeholders, team and functions. Senior Counsel in this capacity serves as the primary point of contact providing guidance and direction on all legal and compliance matters and is responsible for providing timely, relevant and pragmatic legal, business and strategic advice to help the SSBU/SBU achieve its business and financial goals. Critical to this role is the Senior Counsel’s ability to quickly establish trust and foster a positive reputation with key program and functional leaders as their primary go-to partner for timely and pragmatic legal/business solutions. An effective Senior Counsel would have excellent legal and critical thinking skills, an understanding of the SBU business and financial goals, and a keen ability to effectively establish and exploit an internal network of Legal, Contracts &amp; Compliance (LCC) professionals and functional resources.</p> <p></p> <p> The ASDS Legal team operates as one seamless collaborative unit with a vison to support the business as an embedded partner that is present at all levels within the SBU (e.g., SBU, SSBU, Program) and at key operational events (e.g., monthly financial/business reviews, Estimate at Completion (EAC) reviews, staff meetings). Senior Counsel will be expected to establish a regular cadence (at least 1x/month) with key functions within their assigned SSBUs including Contracts, Subcontracts and Finance. Senior Counsel will also serve as a leader on the ASDS Extended Legal Team (ELT) which comprises all direct and matrixed senior Legal and Compliance reports to the ASDS SBU. As an ASDS general counsel, Senior Counsel may also be called upon to represent ASDS Legal on behalf of the ASDS General Counsel in various capacities.</p> <p></p> <p><b> Responsibilities to Anticipate: </b></p> <ul> <li><p>Support the Internal customer (i.e., SSBU, SBU and Raytheon leadership) as a strategic partner in the legal function and provides sound legal and business advice to all functional team members and members of senior management</p></li> <li><p> Serve as the primary point of contact to the SSBU providing guidance and direction on all legal and compliance matters, and represents and advises the company on legal and compliance matters involving third parties (e.g., Government or Commercial customers, entities within the Contiguous United States (CONUS) or Outside the Contiguous United States (OCONUS) , business or individual persons)</p></li> <li><p> Act as a strategic business partner to review, draft, negotiate, and advise on a wide variety of government or commercial agreements, including Foreign Military Sales (FMS) Direct Commercial Sales (DCS), Offsets, Other Transaction Agreement/Authority (OTAs), Joint Venture Agreements, Intellectual Property Agreements, Memorandums of Understanding (MOUs), Consortium/ Collaboration/ Teaming Agreements, licensing agreements, vendor agreements, and non-disclosure agreements</p></li> <li><p> Address legal risk with a view to protecting the company from harm while maintaining clear understanding of the related business risks, developing processes to solve problems, strengthening partnerships, and advancing opportunities</p></li> <li><p> Interpret complex laws, rulings, and regulations and provide expertise to individuals and businesses on legal issues to ensure compliance with relevant laws and regulations</p></li> <li><p> Draft or assist in drafting legal, business or commercial communications to internal customers and third parties</p></li> <li><p> Conduct professional presentations for various purposes and audiences (e.g., presenting legal matters to senior business or Legal team leadership, training business or legal personnel, preparing legal opinions for our financial teams)</p></li> <li><p> Manage the general counsel budget and outside counsel matters in their purview</p></li> </ul> <p></p> <p><b> Basic Qualifications:</b></p> <ul> <li><p> Typically requires University Degree or equivalent experience and minimum 14 years prior relevant experience, or an Advanced Degree in a related field and minimum 12 years experience</p></li> <li><p> A Juris Doctorate is required</p></li> <li><p> An active and transferable U.S. government issued security clearance is required prior to start date</p></li> <li><p> U.S. citizenship is required as only U.S. citizens are eligible for a security clearance</p></li> <li><p> Currently admitted and in good standing with at least one U.S. State bar, and eligibility to represent Raytheon as an in-house legal counsel</p></li> <li><p> 7 or more years of experience working with US Government contracts</p></li> </ul> <p></p> <p><b> Preferred Qualifications: </b></p> <ul> <li><p>Aerospace and Space Industry experience </p></li> <li><p>Extensive experience in Government Contracts law (e.g., FAR, DFARS, etc.), formation and application in both prime and subcontracts</p></li> <li><p> Extensive experience in reviewing, drafting, negotiating, and advising on a wide variety of government or commercial agreement</p></li> <li><p> Significant and/or relevant experience with international transactions (e.g., FMS, DCS, Offsets, International Traffic in Arms Regulation (ITAR), various local law issues, export authorization)</p></li> <li><p> Excellent verbal, written and presentation skills and ability to communicate complex matters effectively and persuasively</p></li> <li><p> Possesses an understanding of data rights and other intellectual property issues</p></li> <li><p> Experience in or has supported litigation (primarily bid protests, but also disputes/claims)</p></li> <li><p> Understands cost accounting and finance issues in the aerospace and defense industry </p></li> <li><p>U.S. government issued Top Secret Clearance</p></li> </ul> <p></p> <p><b> What We Offer: </b></p> <p>Whether you’re just starting out on your career journey or are an experienced professional, we offer a robust total rewards package that goes above and beyond with compensation; healthcare, wellness, retirement and work/life benefits; career development and recognition programs. However, the successful candidate will be required to work from one of the 50 U.S. states (excluding U.S. Territories). </p> <p></p>The salary range for this role is 171,000 USD - 343,000 USD. The salary range provided is a good faith estimate representative of all experience levels.
