Our network is fully automated and operating at scale - with the support of the Pagaya network, our partners have processed millions of applications, with a new application typically analyzed every second. **Let's create better outcomes together!** **About the Role** Pagaya is seeking a highly-qualified Corporate Counsel to report to the Deputy General Counsel, Corporate & Funds. Pagaya, as a newly public company, is looking for an attorney to help build and manage all aspects of Pagaya’s public company obligations. This role will be responsible for ensuring compliance with securities laws, rules and regulations, including supporting the preparation and filing of Pagaya’s securities reporting obligations under the ’33 Act and ’34 Act, and all related filings. In addition, this position will assist on transactional matters, including M&A transactions and strategic investments, actively managing deal process and execution, working closely with the Corporate Development team. The position is based at the company’s office in New York City. **Responsibilities** * Ensure compliance with securities laws, rules and regulations, including listing standards * Prepare and file applicable SEC reporting and all related filings * Build framework and process to satisfy all public company obligations * Support Board of Directors and Committees, including preparation for Board and Committee meetings * Support the stock administration department on equity matters and employee education, including executive compensation. * Provide support for M&A transactions, strategic investments and other corporate transactions, including working on deal structure and terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution. * Partner with global cross-functional teams, including Public Relations, Investor Relations, Treasury and Tax on various projects * Maintain governance policies and practices, including corporate governance guidelines, committee charters and other governing documents * Advise members of senior management regarding securities and corporate governance activities * Stay up-to-date and keep Legal team advised on external governance trends, SEC and NASDAQ issues, general legal issues and best practices. **Requirements** * 7+ years of public company experience working in-house or in a major law firm. * Prior in-house experience is preferred, but not required. * Experience drafting and filing of securities and regulatory filings * Experience on transactional and other strategic corporate initiatives * Experience in a start-up, emerging growth company or foreign private issuer, is a plus * Bright, energetic, detail-oriented, commercial-minded, client-centric transactional attorney * High level of energy, tact and strong desire to learn and grow * Impeccable written and oral communication skills * Excellent legal and business judgment * Team player with ability to collaborate cross-functionally * Ability to work independently in a fast-paced, rapid-growth environment * JD degree and active membership in at least one state bar (preferably New York) **Our Team** Pagaya was founded in 2016 by seasoned research, finance, and technology entrepreneurs with our head quarters located in NYC, Tel Aviv, Boston, and Zurich.
