<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> <div> <p>Description du poste</p> </div> </div> <div></div> <div> <div> <div> Summary </div> <div></div> <div> <br> Transactional lawyer to provide advice and counsel to the range of business lines and products that comprise CA-CIB’s capital markets activities. </div> <div></div> <div> <br> Key responsibilities </div> <div></div> <ul> <li><br> Provide transactional and legal advice with respect to capital markets activities, with a particular emphasis on debt capital markets activities and note programs. Activities include reviewing underwriting and purchase agreements, private placement agreements and related documentation and drafting and reviewing engagement letters.</li> <li>Counsel and assist in negotiations with clients and other parties with respect to capital markets activities in the United States</li> <li>Provide legal advice and memoranda on capital market and securities law questions and the impact of new legal developments on covered activities, including in support of CA-CIB’s new activities and products approval processes</li> <li>Assist in the development of forms and template documents used by covered businesses</li> <li>Engage, coordinate, and supervise external counsel acting on behalf of CA-CIB in all relevant jurisdictions and on all relevant subject matter</li> <li>Prepare and contribute to numerous internal reports and systems relating to the management of legal risk</li> <li>Assist in drafting internal governance texts, policies and procedures relating to the legal function and to covered businesses and products</li> <li>Stay current on market and legal developments affecting covered businesses and products</li> <li>Organize and participate in internal trainings targeted towards the front office, legal, compliance and other support functions</li> <li>Uphold CA-CIB’s codes of ethics, culture and conduct in all matters, including with respect to matters of diversity and inclusion and the identification and escalation of financial crimes risks</li> </ul> <div></div> <div> <br> Management and Reporting </div> <div></div> <div> <br> Reports to the Head of the Capital Markets Team in the U.S. Legal Department </div> <div></div> <div> <br> Key Internal contacts </div> <div></div> <div> <br> Relevant front office, legal and compliance personnel </div> <div></div> <div> <br> Key External contacts </div> <div></div> <div> <br> Various outside counsel </div> <div></div> <div> <br> Salary range: $170,000 - $230,000 </div> </div> </div> </div> <div></div> <br> <div> <div> <div> <ul> <div> <div> <div> <div> Critères de candidature </div> </div> </div> <div> <div> <div> <div> <div> <ul> <div> Niveau d'étude minimum </div> <p>Bac + 5 / M2 et plus</p> </ul> <ul> <div> Formation / Spécialisation </div> <p>Licensed to practice law in the State of New York, with J.D. and undergraduate degrees from highly regarded institutions<br> · Minimum of 5 years’ experience as a transactional lawyer in a nationally recognized law firm and (ideally also) with experience working in a global financial institution legal department covering sophisticated transactions· Securities law and in particular debt capital markets transactional background· Familiarity with bank note programs</p> </ul> <ul> <div> Niveau d'expérience minimum </div> <p>6 - 10 ans</p> </ul> <ul> <div> Soft skills </div> <p>Essential· Ability to prioritize effectively and manage a complex, time sensitive workload· Sound and ethical legal and commercial judgment· Professional and convincing demeanor and interpersonal skills· Creative, solutions-oriented approach to complex legal and commercial issues· Ability to confront and escalate difficult issues within the institution· Excellent English-language communication and presentation skills, both written and spoken· Excellent legal knowledge and reasoning ability· Ability to distill complex legal guidance into plain English for a sophisticated business audience Desirable• Project management skills or experience helpful but by no means essential or required· Fluency in French helpful but is by no means essential or required· Technology background and familiarity with current legal tech solutions would be an asset</p> </ul> </div> </div> </div> </div> </div> </div> <div> <div> <div> <div> Entreprise Crédit Agricole CIB </div> </div> </div> <div> <div> <div> <div> <div> <div> A propos de Crédit Agricole Corporate and Investment Bank (Crédit Agricole CIB) Crédit Agricole CIB est la banque de financement et d'investissement du groupe Crédit Agricole, 10ème groupe bancaire mondial en taille de bilan 2021 (The Banker, juillet 2022).
